    Senior Associate

    Bouke Boersma is resident senior associate in Houthoff Buruma's New York office. He advises on Netherlands, Dutch Caribbean (including Curaçao and Aruba) and Suriname law and specializes in corporate, finance transactions, and arbitrations. His clients include banks, multinationals, private equity funds and states. Bouke was a member of the Houthoff team that successfully obtained annulment of the largest arbitral award ever rendered. Bouke is admitted to the bars of Amsterdam and New York State.

      Advised affiliates of Atrium Innovations, a nutritional health products provider, in connection with the entering into of an amendment to a US$740 first lien credit and guaranty agreement arranged by Royal Bank of Canada and the repayment of a US$150 million second lien credit and guaranty agreement.

      Advised UBS on matters of Curaçao law in connection with a USD 790 million amended and restated term loan agreement entered into with companies belonging to the Citco group, including several Citco entities incorporated under Curaçao law as guarantors and security providers.

      Advised various US financial institutions in several matters on Curacao securities laws.

      Advised a Curaçao corporation on its cross-border conversion into a Spanish corporation.

      We advised Bank of America in a USD 150 Million secured finance transaction with a US based multinational chemical corporation. The complex Dutch partnership structure of the borrower created some interesting challenges with respect to the security package to which we found appropriate solutions. We worked together with US co-counsel Shearman & Sterling in this matter.

      Advised Trafigura LLC on matters of St. Eustatius law in connection with a USD 3 billion credit agreement with, inter alia, The Bank of Tokyo-Mitsubishi UFJ, Ltd, secured by certain assets located in St. Eustatius.

      Houthoff Buruma advised, together with Davis Polk & Wardwell LLP, TeliaSonera in connection with the divestment of its interest in the Nepalese operator Ncell to Axiata, one of Asia’s largest telecommunication groups, for USD 1,030 million on a cash and debt free basis. At the same time, TeliaSonera will dissolve its economic interests in the 20 percent local ownership and receives approximately USD 48 million. The transactions are conditional on each other and subject to regulatory approval. TeliaSonera, listed in Stockholm and Helsinki, is the dominant telephone company and mobile network operator in Sweden and Finland.
