    Sylvia Dikmans is a tax adviser who specialises in international structuring, private equity, fund structuring, mergers and takeovers; focusing on both Dutch and Luxembourg tax law. Sylvia is a member of the Dutch Association of Tax Advisers (NOB) and the International Fiscal Association (IFA). She regularly speaks on these issues and is a lecturer at the University of Hamburg for the LLM "Master of International Taxation".

      Advised CBRE Global Investment Partners, part of one of the world’s premier, full-service commercial real estate services and investment companies, on setting up a Dutch fund targeting European co-investment and joint venture strategies, having raised a total of  USD 840 million of equity sourced from six investors.

    • Dec 2015

      Houthoff Buruma advised, together with Davis Polk & Wardwell LLP, TeliaSonera in connection with the divestment of its interest in the Nepalese operator Ncell to Axiata, one of Asia’s largest telecommunication groups, for USD 1,030 million on a cash and debt free basis. At the same time, TeliaSonera will dissolve its economic interests in the 20 percent local ownership and receives approximately USD 48 million. The transactions are conditional on each other and subject to regulatory approval. TeliaSonera, listed in Stockholm and Helsinki, is the dominant telephone company and mobile network operator in Sweden and Finland.

      Advised Goodyear on its EUR250 million eight year high yield senior unsecured notes issuance. Goodyear is a market leader in the manufacture, distribution and sale of tires for global distribution markets and engages in automotive, vehicle parts, rubber and polymer-related businesses.

      Houthoff Buruma advised IVG Institutional Funds GmbH on the Dutch part of the sale of one of its Pan European office portfolios to a fund managed by Ares Management. The portfolio consists of 30+ buildings in the United Kingdom, France, Belgium, Finland, Spain and the Netherlands. The Dutch part of the portfolio consists of 18 office buildings and represents a substantial of the portfolio value. The transfer of the buildings is expected to take place in the third or fourth quarter of 2015.

      (ii) the formation and restructuring of their flagship fund: Man AHL Diversified Markets EU, their Dutch Investment Fund also in view of AIFMD;
      (iii) their Luxembourg funds that are/were marketed in the Netherlands;

      (iv) their ISDA and Repo and Prime Broker contracts; and
      (v) ongoing Dutch regulatory advice.

      Advised the management of SPGPrints on the sale of its shares in SPGPrints to Investcorp and management SPGPrints. SPGPrints, with an annual turnover of around EUR 214 million, has a leading position in the market for textile printing, rotary screen printing and precision metal parts.

      Houthoff Buruma advised Zoomlion Heavy Industry Science and Technology, a Chinese listed industrial equipment manufacturer, on the acquisition of a 35% stake in RAXTAR, a vertical access solutions provider in the Netherlands. Zoomlion intends to obtain a controlling stake at a later stage.

      Houthoff Buruma advised Prime Focus World N.V., the creative services branch of Indian company Prime Focus, and a global provider of 3D conversion, visual effects and animation services to major entertainment and media companies, on its merger with London-based Double Negative, one of the world’s top visual effects studios. The combined entity will be the world’s largest provider of visual effects, animation and 3D conversion services.

      Houthoff Buruma advised France-based Dassault Systèmes, world leader in 3D design software, 3D digital mock up and product lifecycle management solutions, on its acquisition of Netherlands-based Quintiq, a leading provider of on-premise and on-cloud supply chain and operations planning & optimization software, for approximately € 250 million. Houthoff Buruma was lead outside counsel for Dassault Systèmes on this matter.

      Houthoff Buruma advised Active Capital Company on the setting up of a new Dutch private equity fund called "Active Capital Company Fund II CV". The Fund is formed as a Dutch CV (commanditaire vennootschap) and will invest in small and medium sized Dutch resident companies with revenues between €5 million – €80 million, which are active in industrial goods & services and (technical) wholesale. The Fund will target both Dutch and non-Dutch retail and institutional investors.

      Houthoff Buruma jointly with Cleary Gottlieb Steen & Hamilton advised Petrobras Global Finance B.V., a wholly owned subsidiary of Petróleo Brasiliero S.A. - Petrobras in respect of its EUR/GBP 3,8 billion global notes offering in January 2014. The notes are listed at the Lux-embourg stock exchange.

      Houthoff Buruma advised, together with Cleary Gottlieb Steen & Hamilton LLP, Petroandina and Pluspetrol on the acquisition of Harvest-Vinccler Dutch Holding B.V. from Harvest Natural Resources, for a consideration of $ 400 million. The acquisition consists of two separate transactions and involves all of Harvest Natural Resources’ oil and gas interests in Venezuela.

      Houthoff Buruma advised Brastec Technologies S.A. on the acquisition of 100% stake in the Dutch company SAS. Brastec Technologies is a Brazilian-based engineering and equipment producer for flexible pipe and cable manufacturing and SAS is a leading provider of high quality equipment for the offshore market. The revenue of Brastec, already projected to double this year, is expected to quadruple after the acquisition, exceeding BRL 300 million in 2012. Brastec hereby becomes a Brazilian multinational with a global reach, well positioned to meet the world´s demand for both onshore and offshore equipment.

      Houthoff Buruma advised Stichting Bedrijfstakpensioenfonds voor de Verf- en Drukinktindustrie, a large Dutch pension fund, on the take-over of the management of its pension assets by BlackRock and the appointment of KasBank as their custodian. This transaction, which concerned several hundreds of millions euro, included negotiations about the investment management agreement, custody agreement and associated agreements with both BlackRock and KasBank.

The Rijswijk-based developer of fast-charge stations for electric cars has been acquired by the Swedish-Swiss group ABB. Besides SET Venture Partners, shareholders were the Canadian investment fund Chrysalix Energy Venture Capital, the Taiwanese Lite-On Technology Corp., the Noord-Brabant Development Agency (BOM) and Breesaap, the investment vehicle of Dutch ex-Prime Minister Ruud Lubbers.
