    The Asset Finance & Structured Finance team works for the vast majority of Dutch and foreign investors, issuers, underwriters and funds on asset finance and structured finance transactions. The team plays a leading role in structuring transactions in a wide range of physical and financial asset classes. Our expertise includes advising on the structuring and implementing of complex transactions in securitisations, structured products, derivatives and tax-driven schemes. The needs of sophisticated investors have led to a greater variety in financing far beyond plain vanilla. We offer our clients solutions to their unique financing needs, based on current market developments such as reduction of risk, increased transparency and compliance with new regulation. The team is well suited to advise on innovative products, including segregated and collateralized programmes, products focused on yield-providing and fundraising and products based on diversification and compliance. Furthermore, the team has extensive knowledge of financing high-value assets, including aircraft, real estate, rolling stock and equipment, ships, power facilities and infrastructure. The team is uniquely qualified to provide legal advice on cross-border transactions and has a multidisciplinary approach by combining our expertise in corporate, banking, securities, restructuring, real estate, derivatives and tax-related matters.

      Advised Orbimed Advisors, one of the leading debt investors in the life science sector, in a USD 100 Million debt financing of Pharming Group N.V. a Dutch listed company. The proceeds were used to redeem outstanding convertible bonds and an existing senior debt facility with Sillicon Valley Bank. As part of the transaction Pharming issued 9.2 million warrants to Orbimed.

      Advised the OpenIJ consortium, consisting of BAM, Volker Wessels, DIF and PGGM, on the EUR480 million+ financing of its successful bid for the new sealocks at IJmuiden.

      This matter is particularly significant because when completed, these will be the largest sealocks in the world. Also, the IJmond project is the first large ‘wet’ infrastructure PPP project in the Netherlands to reach financial close. The IJmond project won Project Finance International (PFI)’s Europe PPP Deal of the Year 2015.

The new distribution activities of TOMS in the Netherlands meant that the Dutch security package required a lot of attention. TOMS is a brand with a high profile in the UK and the US; its sells trendy shoes and eye wear and for every pair you buy TOMS gives a pair of shoes to, or improves the eye sight of, children in need in a developing country.

      Houthoff Buruma advises housing corporation Vestia that reached agreement with a consortium of banks regarding the unwind of their derivative portfolio. The conditions of the agreement allow Vestia to update and execute its so-called Verbeterplan ("Improvement Plan"), as to restore a sound financial position. The unwind of the derivatives will be financed through three sources: the collateral already deposited with the banks of € 1.3 billion, a cash sum of Vestia of € 100 million and a loan of € 0.6 billion provided to Vestia by the consortium. The loan is to be repaid over ten years. For the latter two sources Vestia will claim reorganization support from the CFV (Central Fund for Social Housing).
