      ETV Groep sold the former TNO location in Apeldoorn, for extensive area development, to property developer DW Investments. In the years to come around 275 luxury detached and semi-detached houses will be built in the area. This is an extensive area transformation with around 70,000 m2 of office space being withdrawn from the market.

      Wereldhave acquires 9 shopping centers in the Netherlands. Houthoff Buruma advised Wereldhave, a Dutch listed real estate investment company with commercial property of around € 3.3 billion, on the € 730 million acquisition of 9 shopping centers in the Netherlands from its French competitor Klépierre. The shopping centres were part of Corio's portfolio and were recently taken over by Klépierre. Wereldhave is financing the deal by issuing up to 5.25 million new shares. In addition, existing credit facilities will be evaluated. The transaction is expected to close before the end of 2015.

      Advising Commerz Real, the owner of the Amsterdam 'Twin Towers', the tenants of which are the Stibbe law firm and Akzo Nobel. Part of the estate is a large parking lot, partially built under Highway A10 ('the Zuidas'). The Dutch Government ("Rijkswaterstaat") needs to purchase this part of the building, in order to be able to proceed with a key project in national policy "Zuidasdok", an integrated project consisting of offices, a railway station, housing and (underground) infrastructure (railway and highway). Houthoff Buruma advises Commerz Real on the purchase agreement or expropriation. Houthoff Buruma has started litigation against the Zuidasdok zoning plan.

The unwind of the derivatives will be financed through three sources: the collateral already deposited with the banks of € 1.3 billion, a cash sum of Vestia of € 100 million and a loan of € 0.6 billion provided to Vestia by the consortium. The loan is to be repaid over ten years. For the latter two sources Vestia will claim reorganization support from the CFV (Central Fund for Social Housing).

      In a landmark deal Houthoff Buruma advised private equity firms TPG and Patron Capital on the take over of Uni-Invest through buying the defaulted senior loan and its security from the CMBS' Note trustee in an enforcement sale. The Dutch Central Bank as well as the Dutch Authority for Financial Markets have been following this deal closely along with the international real estate community, as it is a pilot transaction setting a new standard for the valuation and restructuring of mortgage-backed real estate portfolio's. Uni-Invest's portfolio has now met a substantial discount in comparison to the latest valuation in 2011. This deal is said to be the first transaction which reflects the market value of commercial real estate with lack of occupancy, and to deal with the consequences of a defaulted European CMBS bond, and it offers a fair template for restructuring comparable distressed real estate portfolio's. With many CMBS issued in the boom due to mature this year and next, this deal has served as a test case for the European real estate investment sector, potentially offering a template for other cases.
