Jeroen specialises in banking and securities law, and in particular in acquisition financing, real estate financing, project financing, syndicated and bilateral loans, and structured loans. He advises clients on drafting and negotiating financing documents in distressed and non-distressed situations. Jeroen teaches on financing both within the company and at external institutes.

Houthoff advised TH Real Estate on the acquisition and financing of a modern logistics complex in Rotterdam (Maasvlakte II). This is the second acquisition for TH Real Estate's European Logistics Fund. The vendor, which is also the occupier of the property, is selling the property in a sale and long-term leaseback transaction. The property comprises two buildings, dating from 2008 and 2016. It has a total lettable area of 39,500 square metres, most of which is laid out for the storage of hazardous goods.
Houthoff represented Argos Soditic in the acquisition of the Future Group, consisting of the following four business groups operating in the public and financial sector: the Talenter group, PLANgroep, Human Capital Group and Future Communication. This matter is particularly significant for Argos Soditic as it signifies Argos Soditic's first presence in the Netherlands.
Houthoff represented Helios Investment Partners, jointly with Vinson & Elkins, on its acquisition of 100% of Fertilizers and Inputs Holding B.V. which holds Louis Dreyfus Company’s Africa-based fertilizers and inputs operations. The closing of the transaction is subject to regulatory approvals and other customary conditions.
Advising OSX Brasil S.A. (a Brazilian publicly listed oil and gas company) and the Dutch OSX group of companies on the restructuring of their consolidated debt of over US$ 2.5 billion, including representing the OSX companies in various litigation and restructuring matters in the Netherlands as well as coordinating litigation abroad. The team is also involved in the restructuring of OSX debt structures, more specifically related to OSX 3, the USD 450 million bond structure and recently OSX 2, the syndicated debt of USD 850 million.
The OSX restructuring is currently the largest restructuring case in Latin America, with several billions of dollars at stake. An important part of the OSX group of companies is located in the Netherlands. The Dutch aspects of the matter, and thus the Dutch litigation, are crucial to the OSX global restructuring plan.
Houthoff advised Bank of America Merrill Lynch and Neuberger Berman on a large Sharia based financial restructuring.
Advised CBRE Global Investment Partners, part of one of the world’s premier, full-service commercial real estate services and investment companies, on setting up a Dutch fund targeting European co-investment and joint venture strategies, having raised a total of USD 840 million of equity sourced from six investors.
Houthoff advised Apax Partners and Boasso Global III B.V., a wholly-owned subsidiary of Quality Distribution, Inc., in its acquisition of Den Hartogh’s European depot and tank cleaning services business.
Houthoff collaborated with BBC Bouwmanagement, Basis Bedrijfshuisvesting and Biltmore Vastgoed Consultants to assist Patrizia Immobilien with the purchase of 164 apartments under the name Oranjekwartier from Bouwconsulting Beheer. The purchase price of the complex was EUR 66 million.
Oranjekwartier, which is located on the Koningin Wilhelminaplein in Amsterdam, consists of three residential buildings and has been fully let. Patrizia had purchased the residential complex under instruction from two institutional investors who wish to retain the units in the long term. Oranjekwartier's developer Bouwconsulting Beheer handed over the complex in 2009.
Oranjekwartier has a total surface area of 18,000 m2, divided into three buildings. Buildings A and C have a retail area, a restaurant and a crèche on the ground floor. The apartments range between 90 and 150 m2 and feature fully equipped kitchens. The residential towers are situated next to the Westlandgracht and close to Oud-Zuid.
