Roland specialises in pensions law, tax-related pensions law, and life insurance law. He also specialises in financial law and international and European pensions law. He advises pension funds, insurers, and large and medium-sized companies. Roland has many years’ experience in the pensions sector. Roland regularly publishes and lectures on subjects in his field, and is a member of various professional Dutch associations and the International Pension and Employee Benefits Lawyers Association (IPEBLA). In addition to his work as a lawyer, he is also an editor of professional magazines and books in his field. He is also a board member of the Association of Pension Sector Internal Supervisors (VITP).

Roland is a thought leader in his field of expertise with vast experience in the following areas:

  • group transfer payments;
  • winding-up of pension funds;
  • pension scheme changes;
  • employee representation and supervision matters;
  • duty of care;
  • mandatory affiliation with sectoral and occupational pension funds and exemption from mandatory affiliation; and

He also frequently advises on the implementation of the Future of Pensions Act (Wet toekomst pensioenen) and regularly represents parties in legal proceedings on pension-related topics.

  • Advised DCC plc / Benegas on the purchase of all outstanding shares in the Share capital of Isolatiespecialsit.nl Holding B.V.

  • Assisted Dutch insurer De Goudse in its proposed acquisition of a 35% stake in glass insurer Midglas. Midglas is market leader in this niche market. A part of the proposed acquisition is also a 35% stake in De Glaslijn, a facility service provider.
  • Advised European private equity firm CastikCapital on the acquisition of TBAuctions, a leading European online auction platform.
  • Advised ASR Nederland N.V. (a.s.r.) on the acquisition of a 50% interest from Brand New Day in Brand New Day Premiepensioeninstelling N.V. (BND PPI) and the sale of a.s.r.'s 10% interest in Brand New Day Houdstermaatschappij N.V. for a total amount of EUR 51 million.
  • Served as legal advisor to ECI Software Solutions, a leader in cloud-based business management solutions. ECI has signed a definitive agreement to acquire Netherlands-based Trivest Beheer B.V., a provider of smart vertical software solutions to the SME manufacturing sector. With this acquisition, Trivest’s nearly 3,000 customers and more than 300 employees will join ECI’s manufacturing division.

  • Advised Hexaware Technologies Ltd on the acquisition of Mobiquity Inc. Mobiquity provides digital consulting services for the world’s leading brands, such as Amazon Web Services, Rabobank, Philips, Wawa, Backbase and Otsuka. Houthoff worked jointly with Skadden, Arps, Slate, Meagher & Flom LLP on this transaction.

  • Houthoff advised Stichting Bedrijfstakpensioenfonds voor de Zuivel en de industrie ("Bpf Zuivel") on the following legal matters:
    (i) the delegation of Bpf Zuivel's asset management to BNP Paribas Investment Partners Netherlands N.V. by means of an investment management agreement;
    (ii) the outsourcing of Bpf Zuivel's pensions management to Syntrus Achmea Pensioenbeheer N.V. by means of a pensions management agreement; and
    (iii) the appointment of Kas Bank N.V. as Bpf Zuivel's custodian by means of a custody agreement.
  • Houthoff advised Stichting Bedrijfstakpensioenfonds voor de Bouwnijverheid (BpfBOUW), the fourth largest pension fund in the Netherlands, managing assets of approximately EUR 55 billion, on several legal matters concerning its relationship with APG. The advice pertained to, among other things, the legal documentation of the asset management, fund management and fiduciary and other advisory services provided by APG to BpfBOUW on an ongoing basis.
