Vivian specialises in mergers and acquisitions, in particular in relation to cross-border private M&A transactions. Her work involves advising on, drafting and negotiating transaction documents as well as coordinating M&A deals. The majority of her clients are private equity companies. Her thesis discussed the introduction of the "pre-pack" in the Netherlands from an employment law perspective.

  • Houthoff represented the sellers of Kompas International, a provider of trust and corporate services, in their divestment of Kompas International to Praxis IFM, one of the largest independent and owner-managed financial services groups headquartered in the Channel Islands.

  • Houthoff represented Argos Soditic in the acquisition of the Future Group, consisting of the following four business groups operating in the public and financial sector: the Talenter group, PLANgroep, Human Capital Group and Future Communication. This matter is particularly significant for Argos Soditic as it signifies Argos Soditic's first presence in the Netherlands.
  • Houthoff represented Bregal Freshstream LLP, a UK-based private equity fund of Bregal Investments LLP, on the acquisition of a minority stake in Euro-Caps Holding B.V., a Netherlands-based company engaged in the manufacturing of private label coffee capsules.
  • Houthoff advised Apax Partners and Boasso Global III B.V., a wholly-owned subsidiary of Quality Distribution, Inc., in its acquisition of Den Hartogh’s European depot and tank cleaning services business.
  • Houthoff represented Söderberg & Partners in the acquisition of a stake in Floreijn Groep B.V., a Dutch financial service provider. The acquisition marks Söderberg & Partners’ first expansion outside the Nordic region. Söderberg & Partners is a leading independent advisor and provider of insurance and financial products, with one of the largest independent insurance analysis departments in Scandinavia.
  • Houthoff represented Hearst Corporation and its Dutch subsidiary Hearst Netherlands, publisher of among others, Quote, Esquire, Elle , Harper's Bazaar and Cosmopolitan, in the acquisition of the publisher of the Dutch editions of , among others, Vogue, Glamour, National Geographic, Quest and JAN.
