  • Houthoff assisted the Salvation Army in setting up the investment fund 'Stichting Leger des Heils WoonVermogen' for construction projects that make a social impact. The 'Stichting Leger des Heils WoonVermogen' is funded by private investors and aims to build 250 residences for vulnerable people in the coming years.
  • Houthoff advised Petrobras Global Trading B.V. on a USD 3,250,000,000 revolving loan and letter of credit facility agreement between Petrobras Global Trading B.V. as borrower, Petro;leo Brasileiro S.A.; Petrobras as guarantor, Credit Agricole Corporate and Investment Bank as the administrative agent and The Bank of Nova Scotia, Citigroup Global Markets Inc., Credit Agricole Corporate and Investment Bank, JPMorgan Chase Bank, N.A. and Mizuho Bank, Ltd as joint bookrunners and joint lead arrangers.
  • Houthoff advised TH Real Estate on the acquisition and financing of a modern logistics complex in Rotterdam (Maasvlakte II). This is the second acquisition for TH Real Estate's European Logistics Fund. The vendor is selling the property in a sale and long-term leaseback transaction. The property comprises two buildings, dating from 2008 and 2016. It has a total lettable area of 39,500 square metres, most of which is laid out for the storage of hazardous goods.
  • Houthoff represented The Datacenter Group in the acquisition of two data centers from Rabo Bouwfonds Communication Infrastructure Fund and the refinancing of The Datacenter Group.

  • Advised various parties on Brexit including Lloyd's and VSZ, a Dutch managing agent acting on behalf of a number of Lloyd's syndicates.
  • Advised the Borgesius Group on a term and revolving facilities agreement provided by Coöperatieve Rabobank U.A., Deutsche Bank AG, Amsterdam Branch and NIBC Bank N.V. in connection with the acquisition of the Bakkersland group.
  • Advised on the refinancing of the Amvest Residential Core Fund by means of a new EUR 700 million loan.
  • Houthoff advised several US financial institutions in several matters regarding Curaçao securities laws.

  • Advised RET (Rotterdam's public transport company) on its first external financing.
  • Houthoff advised JAC Capital and Wise Road Capital on the financing regarding the acquisition of the Standard Products business unit from NXP.
  • Houthoff advised Petrobras Global Trading B.V. on various financial transactions which include a USD 1 billion loan agreement between Petrobras Global Trading as borrower, and the Export-Import Bank of China as lender, and a USD 1.2 billion trade note assignment agreement between Petrobras Global Trading as assignor, Petroleo Brasileiro S.A. -Petrobras as importer, and Banco Santander (Brasil) S.A. Grand Cayman Branch as lender and assignee..
  • We advised Bank of America in a USD 150 Million secured finance transaction with a US based multinational chemical corporation. The complex Dutch partnership structure of the borrower created some interesting challenges with respect to the security package to which we found appropriate solutions. We worked together with US co-counsel Shearman & Sterling in this matter.
  • Advised the Independent Derivatives Committee - appointed by the Minister of Finance - in preparing and drafting a uniform repair framework for compensation by the Dutch banking sector of SME clients that bought interest rate derivatives.
  • Assisting Petróleo Brasileiro - Petrobras and its subsidiaries, as well as former directors, in respect of a Dutch class action threatened by the Dutch foundation named Stichting Petrobras Compensation Foundation representing non-US investors in securities issued by Petróleo Brasileiro - Petrobras and Petrobras Global Finance B.V.
  • Advising Ohpen, a Fintech company which offers a mutual funds and savings account platform as Software-as-a-Service (SaaS) or Business Process Outsourcing (BPO) solution, on outsourcing agreements with two major Dutch financial institutions.
  • Advising various start-ups on FinTech regulatory compliance aspects such as payment services, electronic money, consumer credit, bitcoin regulation.
  • Advised the winning bidder, consortium Noaber18, consisting of DIF and VolkerWessels on the financing of the PPS-project N18 ‘De Nieuwe Twenteroute’.
  • Advising eBay / Marktplaats on the selection of its payment service provider.
  • Advised 15 banks, including BNP Paribas, Crédit Agricole and HSBC on the USD4.4 billion project financing to Oyu Tolgoi LLC. The Oyu Tolgoi mine is one of the largest copper and gold mines in the world and is located in Mongolia.
  • Advised Petrobras Global Trading B.V. in respect of various finance transactions, including USD5 billion term loan facility with China Development Bank Corporation.
