Within Corporate M&A, Environmental, Social & Governance (ESG) has undergone major developments in recent years. While companies initially focused purely on maximising profits for a favourable valuation, sustainability and social action have become critical factors within M&A due diligence. The increase of public pressure on government (Urgenda case) and business (Shell ruling) means that companies, investors and shareholders must be well aware of their ESG profile. The EU has also made great efforts to reduce CO2 emissions by enacting legislation and regulations; most importantly, the Green Deal and the SFDR, which entail great complexity.
