  • Advised PO Söderberg & Partner Aktiebolag on the acquisition of 100% of the shares in Summa Holding B.V.
  • Advised Ariston Holding N.V., a global player in sustainable comfort solutions for hot water and space heating with the initial public offering of its ordinary shares to certain institutional investors and admission to listing and trading of its ordinary shares on Euronext Milan.
  • Assisted Corre Energy B.V. with its initial public offering (IPO) on Euronext Dublin
  • Assisted Corre Energy B.V. with its plans to raise EUR 10 million through an initial public offering on Euronext Dublin.
  • Advised Siemens with its acquisition of Sqills, a leading provider in the provision of cloud-based inventory management, reservation, and ticketing software to public transport operators around the world. The agreed purchase price is EUR 550 million plus an earn out.
  • Advised Kistos Plc. on its proposed de-SPACing acquisition of the entire share capital of Tulip Oil Netherlands B.V. from Tulip Oil Holding B.V.
  • Advised BC Partners on the acquisition of Keesing Media Group from Ergon Capital and Mediahuis.
  • Assisted Söderberg & Partners with the acquisition of a minority stake in Van Loon. The group companies of Van Loon provide advisory and administrative services concerning insurances and other financial products to individuals and companies.
  • Advised the Nuclear Research and Consultancy Group Foundation (NRG) on the sale of its 100% interest in ECN Wind Energy Facilities B.V. and its 50% indirect interest in ECN Windturbine Testpark Wieringermeer C.V. to CIC EWEF B.V., the newly established Dutch subsidiary of Connected Infrastructure Capital GmbH (CIC).
  • Advised Söderberg & Partners with the acquisition of a minority stake in Kröller Boom Assurantiën B.V. Kröller Boom, founded in 2005, has an annual turnover of EUR 5 million and employs 20 employees. The insurance broker offers insurances against fire, liability and cybercrime to medium-sized companies. The transaction is still subject to AFM approval.
  • Assisted Söderberg & Partners with the acquisition of a minority stake in Herenvest Groep Beheer B.V. Herenvest Group consists of four advisory companies: Herenvest, Herenvest Corporate, Expat Mortgages and Inside Case Management. Herenvest is an independent financial advisory firm, specialised in the business market. The transaction is still subject to AFM approval.
  • Advised the on the Toronto Stock Exchange listed WSP Global Inc., one of the world's leading professional services firms providing engineering and design services to clients in the Transportation & Infrastructure, Property & Buildings, Environment, Power&Energy, Resources and Industry sector as well as offering strategic advisory services, on the acquisition of multidisciplinary consultancy- and engineering firm Lievense

     

  • Assisted ShoppingParks N.V., Terzetmus B.V., Kempen & Co N.V. and KBC Securities N.V. with the successful accelerated bookbuild offering of 750,000 shares in the capital of Retail Estates N.V., a Belgian publicly listed real estate company. ShoppingParks N.V. and Terzetmus B.V. are two closed-end Dutch real estate funds managed by Freeland.

  • Assisted Exact Group B.V. with the acquisition of the construction software company Bouw7 B.V.

  • Houthoff assisted Kyocera Corporation with the acquisition of Van Aerden Group B.V. by its American subsidiary Kyocera Senco Industrial Tools, Inc. The purchase agreement was signed on 1 February 2019, and on 1 March 2019, the shares were transferred. Van Aerden Group B.V. has been renamed Kyocera Aerfast Europe B.V.
  • Houthoff advised the sellers on the sale of Mendix to Siemens. Mendix was founded in Rotterdam (2005) by, amongst others, Derek Roos and Derckjan Kruit and offers a low-code software platform for the development and implementation of applications. 
  • Houthoff advised Nobia on the acquisition of Bribus Holding B.V., a Dutch kitchen supplier with annual sales of approximately EUR 65 million. Bribus was founded 90 years ago and is acquired from Bernhard ten Brinke, who remains in the company. 
  • Houthoff advised PPLA Participations Ltd. ("PPLA") on the listing of European units on Euronext Amsterdam and the delisting of securities. Each unit represents one class A voting common share and two class B non-voting common shares of PPLA. The underlying shares are not separately tradable on Euronext Amsterdam. The listing and delisting were both effective on 29 December 2017. All units listed on Euronext Amsterdam are wholly interchangeable with the Brazilian units of PPLA listed and traded in Brazil on B3.
  • Houthoff advised Reggeborgh on the IPO of Koninklijke VolkerWessels on Euronext Amsterdam and advised both Reggeborgh and Koninklijke VolkerWessels on all governance-related matters. This included the preparation of the articles of association, the rules of the management board, the supervisory board and its committees, policies, the relationship agreement and the IPO decision-making.
  • Houthoff, jointly with Skadden, advised Netherlands-incorporated TMF Group and its shareholders DH Private Equity Partners and management on the (ultimately aborted) IPO of TMF Group on the London Stock Exchange (premium listing segment) and subsequently on the sale of TMF Group to CVC Capital Partners for EUR 1.75 billion.
