Josephine specialises in private M&A transactions. She advises private equity funds, listed and non-listed corporates on a wide range of corporate matters, such as M&A transactions, restructurings (carve-outs), equity investments and management investment plans in various jurisdictions. Josephine has previously gained experience with the Intellectual Property and IT practice groups at Houthoff. Since September 2021, she has been seconded to our London office to continue her work in international M&A transactions.

  • Advised ECI Software Solutions, a global provider of cloud based business management software and services, on the acquisition of Treetop Group, a software company specialized in business software solutions for the residential construction and craft industry in the Netherlands.
  • Advised in collaboration with Skadden, Arps, Slate, Meagher & Flom (UK), TBAuctions Netherlands B.V. on its acquisition of Epic Auctions. 
  • Advised Authentix Inc on the acquisition of Koninklijke Joh. Enschedé.
  • Advised Bridgepoint Advisers II Limited on its acquisition of the DataExpert group, a leading provider of products and services to combat cybercrime and fraud and deliver forensic and incident response solutions.
  • Advised Sligro Food Group on the acquisition of the majority of wholesaler Metro’s activities in Belgium

  • Advised Dusseldorp Automotive B.V., a Dutch BMW- and MINI dealer, on the acquisition of the VMD Group from Autobinck Group.
  • Advised TBAuctions, a Dutch online auction platform on its acquisition of Klaravik, a Swedish online auction platform.
  • Advised European private equity firm CastikCapital on the acquisition of TBAuctions, a leading European online auction platform.
  • Advised Barentz International, a leading global life science ingredients distributor, together with Shardul Amarchand Mangaldas, on an agreement to acquire a majority stake in the distribution activities of Gangwal Chemicals Private Limited.
  • Advised and represented Egeria on the sale of Dutch Bakery Group B.V. to investment manager 3i Group PLC.
  • Advised PRO Unlimited on the acquisition of the Dutch Brainnet Group, both are vendor-neutral managed service providers (MSPs).
  • Advised Castik Capital S.à r.l., a Luxembourg-based private equity firm, on its acquisition of a majority stake in Customs Support Group (CSG).
  • Advised publicly traded Swedish company XVIVO Perfusion AB on the acquisition of 100% of the shares in Organ Assist BV for a purchase price of EUR 24 million. Organ Assist’s business focuses on developing machines and disposable components for liver and kidney perfusion.
  • Houthoff assisted NCAB Group, listed on NASDAQ Stockholm, with the acquisition of Flatfield. NCAB is a global full-service supplier of PCBs (printed circuit boards) with local presence in 17 countries and sales in 45 countries. Flatfield is one of the leading PCB suppliers in the Benelux region. Outside Benelux, Flatfield also has a broad customer base in Germany. Synergies are expected in the areas of purchasing power and a broader factory base in China. The acquisition is mainly loan financed.
  • Advised Arcis on the acquisition and transfer of all shares in Axender BV and the participation of Axender Holding in Arcis. As a result, Arcis is now a consortium consisting of four parties: Beheermaatschappij Em. De Jong BV, Print Nerds BV, Shatho Beheer BV and Axender Holding BV. Axender will continue under Spotta's name and deliver flyers to about 5.7 million households on a weekly basis.
  • Advised the LOI, one the largest private educational institutions in the Netherlands, on the sale of the nearly 100-year-old family business to the NCOI, one of its close competitors.
  • Assisted Shenzhen Goodix Technology Co. with its agreement with NXP Semiconductors under which it will acquire all assets of NXP Semiconductors' Voice and Audio Solutions (VAS) for USD 165 million.
  • Houthoff, together with Valther, assisted Actual Leader Group, an important provider on the French flexible labour market, in acquiring a stake in the Dutch employment agency Flex Factory. This is an important step in the growth strategy of Actual Leader Group which envisages to grow 20% in its foreign activities on the European market.
  • Advised Hexaware Technologies Ltd on the acquisition of Mobiquity Inc. Mobiquity provides digital consulting services for the world’s leading brands, such as Amazon Web Services, Rabobank, Philips, Wawa, Backbase and Otsuka. Houthoff worked jointly with Skadden, Arps, Slate, Meagher & Flom LLP on this transaction.

  • Represented Paypal in their acquisition of iZettle, a Swedish payment platform and supplier of mobile credit card readers for USD 2.2 billion in a successful process lead by Roschier.

  • Houthoff represented Sligro Food Group on the sale of its foodretail business EMTÉ to a consortium formed by foodretailers Jumbo and Coop as well as the separate real estate transaction for 27 store locations. The EMTÉ business is integrated into the businesses of Jumbo and Coop respectively.
