  • Houthoff represented Active Capital Company in the sale of FTNON, a Netherlands-based manufacturer of food processing equipment specialized for the fresh cut and thermal treatment of fruit and vegetables, to JBT Corporation, a US-based leading global technology solutions provider to high-value segments of the food processing and air transportation industries. FTNON's USA and China based subsidiaries were, as part of this transaction, sold directly to JBT.

  • Houthoff advised Siemens to found a joint venture with Mitsui Rail Capital Europe (MRCE) for the servicing and maintenance of locomotives. The company will be headquartered in Rotterdam, the Netherlands, and be named Locomotive Workshop Rotterdam (LWR). The location of the new workshop in the port of Rotterdam will enable rail operators to optimize their long-term planning of necessary service stops for locomotives on their routes. The port is an ideal location for servicing locomotives arriving from throughout Europe, and will eliminate long service transfer runs. As the biggest seaport in Europe, Rotterdam is a key logistics hub in the European rail network. Each week, there are more than 250 intermodal rail connections in the port. The workshop will handle inspections, preventive and corrective maintenance work, which also can include simple repairs and upgrades. Founding of the company, pending approval of antitrust authorities, is expected to be completed in the first half of calendar year 2018.

  • Houthoff has advised tesa SE on the acquisition of shares in the capital of  Nijkerk-based Polymount International B.V. from its current shareholders. Polymount is active in the business of developing, manufacturing and sale of a producer of self-adhesive ‘twinlock’ sleeves used in printing presses. The new combined infrastructure of Polymount’s Twinlock division and tesa will create opportunities for synergy and growth on a global scale.

  • Houthoff represented Sligro Food Group on the sale of its foodretail business EMTÉ to a consortium formed by foodretailers Jumbo and Coop as well as the separate real estate transaction for 27 store locations. The EMTÉ business is integrated into the businesses of Jumbo and Coop respectively.
  • Houthoff has advised Smart Holding B.V. in a transaction whereby Smart Holding agreed on the acquisition of all outstanding shares in the capital of Mascot Europe B.V. from its shareholder MagVat Holdings B.V.

    Both Smart Holding, via its subsidiary Nedac Sorbo B.V., and Mascot Europe are, together with its respective affiliates, active as wholesalers in consumer goods.

  • Houthoff advised Dümmen Orange on the acquisition of the Calla business of Golden State Bulb Growers Inc. and G. Geerlings & Zonen B.V. and the Calla breeding Sande companies. Pursuant to this series of acquisitions, Dümmen Orange was able to establish itself as a global leader in Calla breeding.
  • Houthoff advised Dümmen Orange on the acquisition of the business of Grow-Tech LLC, a world wide developer and manufacturer of grow plugs and microgreen growing media.
  • Houthoff advised Dümmen Orange on the acquisition of De Eeuwige Lente B.V. The target company specialises in breeding, propagation through cuttings and rooting. Over the years the company has specialised increasingly in Saintpaulia, with Euphorbia Milii a relatively recent addition to its product range.
  • Houthoff advised Dümmen Orange on the acquisition of the Phalaenopsis young plant business of SOGO Team Co. Ltd. SOGO is a Phalaenopsis young plant supplier located in Taiwan delivering plants to Europe, the Americas, Asia, Oceania and Africa employing around 250 workers.
  • Houthoff is serving as local counsel to Tencent Holdings Ltd which, together with Navinfo and Rocco Ventures, plans to buy a 10% stake in Netherlands-based HERE International B.V. The target company offers the HERE Open Location Platform and is a leading provider of global online mapping and navigation services. Houthoff is working in tandem with Morrison Foerster on this case.
  • Houthoff advised Dümmen Orange on its acquisition of Max Roots and Quick Plug. Quick Plug is a global supplier of various concepts for growers and propagators within the horticulture sector.
  • Houthoff advised Björn Borg on the acquisition of Benelux distributor Baseline. Baseline Group operates the Björn Borg business in Benelux, including wholesaling of mainly underwear and sports apparel as well as retail operations of twelve Björn Borg concept and outlet stores in the Netherlands and Belgium. The acquisition of the Benelux operations is an important step in accelerating the vertical integration of the Björn Borg operations and in line with the strategy to get closer to consumers and retailers. The Benelux region is the largest market for Björn Borg, ahead of Sweden, accounting for 26% of total brand sales in 2015. Björn Borg’s shares are listed on Nasdaq Stockholm.
  • Harbour BioMed, a newly established cancer therapies company based in Shanghai, today announced it has bought Harbour Antibodies BV for cash and an equity stake in Harbour Biomed in order to form a new oncology biotech.

    The acquisition was financed by Harbour BioMed investors, Advantech Capital and Legend Capital, two leading China-focused investors with a particular emphasis on life sciences.

    Harbour BioMed was established in 2016 with an initial financing of USD 50m from Advantech Capital, Legend Capital and the Harbour BioMed founding team. The company is headquartered with R&D operations in Shanghai, business operations in Cambridge, MA, and antibody platform innovation operations in Rotterdam, The Netherlands. The company plans to expand its presence in the Boston area by establishing a drug discovery innovation center.

    Houthoff assisted Erasmus MC Holding B.V., Atlas Holding Fund IX Coöperatief U.A. and the other shareholders of Harbour Antibodies B.V.
  • Houthoff assisted FleetCor Technologies, Inc., a global provider of fuel cards and workforce payment products to businesses, in the acquisition of Travelcard Nederland B.V., a leading universal fuel card issuer in the Netherlands, from LeasePlan Corporation N.V.
