Bastiaan specialises in all areas of financial regulation. His work involves both advising and providing support throughout the transaction process. Bastiaan advises and assists a range of Dutch and international institutions and parties that operate on the financial markets with a broad array of financial regulatory matters, including market entry and contact with the Dutch regulators (the AFM and DNB). He is a regular contributor to the publication Sdu Commentaar Financieel Recht.

Bastiaan Siemers was employed by Houthoff until 1 November 2018. From now on, he is affiliated with Houthoff as Of Counsel/Independent Adviser.

  • Houthoff represented Paypal in their acquisition of iZettle, a Swedish payment platform and supplier of mobile credit card readers for $2.2 billion in a successful process lead by Roschier.

  • Advising European Merchant Finance, a Dutch trade finance company, on payment services and credit compliance aspects as well as its contract with CCV Holland, a Dutch regulated payment institution.
  • Advising Ohpen, a Fintech company which offers a mutual funds and savings account platform as Software-as-a-Service (SaaS) or Business Process Outsourcing (BPO) solution, on outsourcing agreements with two major Dutch financial institutions.
  • Representing a Dutch exempt electronic money institution in respect of queries by the Dutch Central Bank on the scope and adequacy of its exempt status.
  • Advising Cass Europe, a Dutch regulated payment institution part of Cass Information Systems, on its application for a payment institution license and various ongoing compliance aspects including detailed discussions with the Dutch Central Bank on its business processes.
  • Advising various start-ups on FinTech regulatory compliance aspects such as payment services, electronic money, consumer credit, bitcoin regulation.
  • Advised the Independent Derivatives Committee - appointed by the Minister of Finance - in preparing and drafting a uniform repair framework for compensation by the Dutch banking sector of SME clients that bought interest rate derivatives.
  • Houthoff advised Bank Insinger de Beaufort on its acquisition by KBL European Private Bankers. KBL intends to merge Bank Insinger de Beaufort with its subsidiary Theodoor Gilissen Bankiers. The merger will create a new private bank with more than EUR 20 billion of assets under management.
  • Advised China Construction Bank on the setting up of its Amsterdam branch. This Dutch branch of China Construction Bank is under the management of China Construction Bank (Europe) S.A., which is located in Luxembourg.
  • Houthoff represented Söderberg & Partners in the acquisition of a stake in Floreijn Groep B.V., a Dutch financial service provider. The acquisition marks Söderberg & Partners’ first expansion outside the Nordic region. Söderberg & Partners is a leading independent advisor and provider of insurance and financial products, with one of the largest independent insurance analysis departments in Scandinavia.
  • Houthoff represented Eli Global, LLC in the acquisition of all the outstanding shares in the Dutch life insurance company Nederlandsche Algemeene Maatschappij van Levensverzekering Conservatrix N.V.
  • Advised various parties on Brexit including Lloyd's and VSZ, a Dutch managing agent acting on behalf of a number of Lloyd's syndicates.
  • Advised iptiQ Life, a Swiss Re subsidiary, on its access to the Dutch healthcare insurance market. Our advice included advice on compliance with regulatory requirements and specific health care regulatory compliance.
