Daphne specialises in national and cross-border M&A transactions. She represents private equity, venture capital, and strategic investors, and her work mainly involves drafting, advising on and negotiating transaction documents, and coordinating M&A and venture capital transactions. Daphne has a leading role in the Houthoff Incubator Programme, where carefully selected promising start-ups are offered legal advice at a reduced rate.

  • Houthoff advised Poiesz Supermarkten B.V., a chain of supermarkets in the Northern Netherlands, on the acquisition of Zorggroep Friesland B.V., sole shareholder of  Van Smaak B.V.. Van Smaak B.V. delivers meals to healthcare institutions and individual customers and has the whole relating process (including the purchase of the raw materials, processing and logistics) in house.

  • Houthoff assisted the three shareholders of the food ingredients supplier Acatris with the sale of 100% of the shares in Acatris Beheer B.V. to Caldic Ingredients B.V. This creates the opportunity for Acatris to geographically expand its own ingredient blends via the international Caldic distribution channels.
  • Houthoff assisted PO Söderberg & Partners Aktiebolag with the acquisition of a 31% stake in the pension advisor Montae Groep B.V. Through this collaboration, Montae will be able to link its in-depth knowledge of the Dutch collective pension market with the financial technology of Söderberg. Together they will enable employers, pension funds and participants to make a well-informed pension decision. Taking an interest in the Dutch Montae is in line with Söderberg's strategy to further expand its position on the Dutch market.

  • Houthoff as local counsel, jointly with Morrison Foerster, advised H2 Equity Partners on the sale of Halex Holding GmbH and its subsidiaries to Bencis Capital Partners.

    Houthoff's team was led by Bram Caudri and included among others Daphne van Boxtel, Merel Zwankhuizen, Sjoerd van der Meer.

  • Houthoff represented the selling shareholders in the acquisition of PS Nachtdistributie by PostNL. PS Nachtdistributie is active in the field of overnight distribution in the Benelux.
  • Houthoff represented Söderberg & Partners in the acquisition of a stake in Floreijn Groep B.V., a Dutch financial service provider. The acquisition marks Söderberg & Partners’ first expansion outside the Nordic region. Söderberg & Partners is a leading independent advisor and provider of insurance and financial products, with one of the largest independent insurance analysis departments in Scandinavia.
  • Houthoff advised H2 Equity Partners on its investment in TB&C Investments B.V. and TB&C Holding GmbH (TB&C). TB&C is a global supplier of hybrid components for automotive sunroofs.
  • Houthoff advised Hitachi Capital Corporation on the acquisition of all the shares in the capital of Noordlease Holding B.V., a Groningen-based company that provides high quality auto lease solutions for both private and business clients. The total fleet of Noordlease consists of more than 10,000 cars. The transaction is part of Hitachi's strategy to expand its vehicle solution business in continental Europe.
  • Houthoff advised Dümmen Orange on the acquisition of Hobaho from FloraHolland. Hobaho specializes in auction, brokerage and breeding of flower bulbs. The addition of Hobaho broadens the offering of products within the Dümmen Orange assortment via existing sales channels.
