Maurits has extensive experience in assisting clients with both public and private national cross-border M&A deals. His work involves advising on public takeover bids, private acquisitions, management buy-outs, joint ventures and other strategic partnerships. He is an expert in complex structuring issues and works for a wide range of clients in various sectors, including private equity funds, institutional investors and strategic parties. In 2017, Maurits was seconded to Clearly, Gottlieb, Steen & Hamilton in New York for a period of 7 months. He was a nominee for the M&A Awards in 2014 and 2016.

Qualifications & Experience

  • LL.M. Commercial Law (cum laude) (Erasmus University Rotterdam)
  • Houthoff advised GIC, Singapore’s sovereign wealth fund, on the joint venture agreement with Equinix for more than USD 1 billion to develop and operate hyperscale data centres in Europe. The joint venture will acquire two operational data centres in London and Paris and plans to futher develop data centres in Amsterdam, Frankfurt (two sites) and London. Houthoff was co-counsel to Kirkland & Ellis on this transaction.
  • Houthoff advised Navitas Capital on the sale and transfer of Partou to KidsFoundation. The owner of KidsFoundation – the English private equity firm Onex – will become the new owner of Partou, together with the Dutch private equity firm Waterland. Partou and KidsFoundation both provide child and toddler care services in the Netherlands, including day care, after-school care and pre-school/early childhood education facilities.
  • Houthoff advised Latour Capital and Bpifrance (Banque publique d’investissement), together with Cleary Gottlieb Steen & Hamilton LLP, in connection with their consortium acquisition of Plastic Omnium Environment BV, the environment division of Plastic Omnium. The purchase price amounts to €220 million.

  • Houthoff represented IQ V-Tech B.V., a Quadrum Capital portfolio company, in entering into a strategic partnership with Alois Kober GmbH and mother company Dexcko Global through the sale of a 37.5% indirect interest in the VB-Airsuspension and its group companies.
  • Houthoff represented Active Capital Company in the sale of FTNON, a Netherlands-based manufacturer of food processing equipment specialized for the fresh cut and thermal treatment of fruit and vegetables, to JBT Corporation, a US-based leading global technology solutions provider to high-value segments of the food processing and air transportation industries. FTNON's USA and China based subsidiaries were, as part of this transaction, sold directly to JBT.

  • Houthoff represented the shareholders of Plaxinvest B.V. on the sale of their interest in Plaxinvest B.V. to Bentley Systems, Inc. Plaxinvest is the parent company of the Plaxis Group, the leading provider of geotechnical software. This strategic acquisition by Bentley, leading global provider of comprehensive software solutions for advancing infrastructure, serves to make Bentley a complete source for geotechnical professionals.

  • Houthoff represented Odin Groep B.V. in the acquisition of Winvision Holding B.V., an IT service provider with a focus on health care, local government, education and infrastructure companies, from its previous founders.

  • Houthoff advised, together with Skadden Arps, Slate, Meagher & Flom LLP, Doughty Hanson and Reggeborgh on the sale of Eurofiber to Antin Infrastructure Partners for EUR 875 million.
  • Houthoff advised H2 Equity Partners on the EUR 91.5 million sale of its portfolio company Isero to merchanting and DIY group Grafton, an Irish company listed on the London Stock Exchange. The acquisition is the group’s largest to date in continental Europe. Isero is a specialist distributor of tools and fixings in the Netherlands, and trades from 38 branches under the Gerritse, Breur Ceintuurbaan and Van der Winkel brands.
  • Houthoff advised Wide-Angle Management on the sale of all shares in Orlaco to Stoneridge Inc. Orlaco is a leading supplier of vehicle camera solutions.

    Since July 2015, Orlaco and Stoneridge have jointly developed the MirrorEye mirror replacement system, which is the industry-leading solution to improve the safety and fuel economy of commercial vehicles.
  • Houthoff assisted FleetCor Technologies, Inc., a global provider of fuel cards and workforce payment products to businesses, in the acquisition of Travelcard Nederland B.V., a leading universal fuel card issuer in the Netherlands, from LeasePlan Corporation N.V.
