Willem is gespecialiseerd in ondernemingsrecht, corporate governance en (strategische en grensoverschrijdende) fusies en overnames tussen strategische bedrijven en vaak in de financiële en energy sector. Hij adviseert zowel beursgenoteerde als niet-beursgenoteerde ondernemingen, financiële instellingen en overheden over een breed scala aan ondernemingsrechtelijke zaken. Hij heeft ervaring met het oplossen van ingewikkelde situaties voor bestuurders en commissarissen, vijandige overnames en bedrijven in moeilijkheden. Willem is docent aan de Law Firm School en docent corporate governance aan de TIAS business school, verbonden aan de Universiteit van Tilburg. Ook publiceert hij regelmatig over zijn vakgebied en heeft hij een boek over corporate governance en de Nederlandse structuurregeling op zijn naam staan. Willem was van 2015 tot 2021 voorzitter van de Raad van Advies van Houthoff.

  • Represented Agilitas Private Equity Services Limited in the acquisition of TenCate Advanced Armour Holding B.V., the global leading manufacturer of lightweight survivability solutions.
  • Houthoff advised Dutch online broker DeGiro on its acquisition by German online broker Flatex for a purchase price of EUR 250 million. With the acquisition of DeGiro, Flatex will become the leading pan-European online broker.
  • Advised Yarden, one of the largest funeral service providers in the Netherlands, and its two shareholders (the Vereniging Yarden and the Stichting Yarden) in the sale of Yarden to DELA.
  • Assisted Twence, a waste processing company that produces energy, in the acquisition of Empyro. The Empyro plant produces pyrolysis oil, green steam and electricity from biomass by polygeneration.

  • InsingerGilissen Bankiers N.V. ("InsingerGilissen") and Lombard Odier (Europe) S.A. ("Lombard Odier") have entered into an agreement with regard to the acquisition by InsingerGilissen of Lombard Odier's Dutch private banking business. Upon closing of the transaction, the entire Amsterdam-based Lombard Odier staff will join InsingerGilissen, increasing assets under management by roughly EUR 1 billion.
  • Houthoff represented Eli Global, LLC in the acquisition of all the outstanding shares in the Dutch life insurance company Nederlandsche Algemeene Maatschappij van Levensverzekering Conservatrix N.V.
