  • Houthoff assisted ShoppingParks N.V., Terzetmus B.V., Kempen & Co N.V. and KBC Securities N.V. with the successful accelerated bookbuild offering of 750,000 shares in the capital of Retail Estates N.V., a Belgian publicly listed real estate company. ShoppingParks N.V. and Terzetmus B.V. are two closed-end Dutch real estate funds managed by Freeland.

  • Houthoff advised Kroonenberg Groep B.V., jointly with Lexence, on the acquisition of a shopping centre in Almere valued at EUR 82 million. The property comprises 65 shops and office spaces near the railway station. Our lawyers focused on the legal due diligence, negations on the SPA and the transfer of the portfolio.

  • Houthoff assisted Heimstaden AB with the indirect acquisition and financing of 9,544 residential units in the Netherlands at a purchase price of EUR 1.4 billion. Through this acquisition, Heimstaden has become the third largest private residential property owner in the Netherlands. This is the largest real estate transaction ever in the Netherlands in terms of the number of housing units.

  • Advised a.s.r. real estate on the acquisition – on behalf of ASR Dutch Prime Retail Fund – of the monumental property Spui 10 in The Hague.

  • Houthoff assisted CDL Hospitality Trusts (CDL) in a transaction where CDL took a majority interest in the four-star hotel 'MGallery by Sofitel' in Florence, Italy. Houthoff worked on this transaction with Allen & Gledhill (Singapore), Shooklin & Bok (Singapore) and Chiomenti (Italy). 

  • Houthoff advised Gramercy Europe Limited on the acquisition of a distribution centre in Helmond. The property comprises approximately 26,874.9 m2 distribution and office space and parking places.

  • Houthoff (co-counsel to Kirkland&Ellis and Dechert LLP, M&A, VDD) advised Wyndham Worldwide Corp on the sale of its European vacation rental business (Landal part) to private equity firm Platinum Equity for approximately USD1.3 billion. This matter is particularly significant/complex because of the multi cross border VDD exercise which Houthoff coordinated for the Landal part of the transaction with multiple park concepts and the very significant real estate component due to the large number of parks operated by Landal over the various jurisdiction (85 in total). We further advised on the competition aspects of various bidders and coordinate and advise on the Dutch works council advice procedure. The client is a NY stock exchange-listed American hospitality company.

  • Houthoff represented the shareholders of Makelaarsland B.V. and Above Holding B.V. in the sale and transfer of 90% of the shares in these companies to ING.

  • Together with the VMRG, the branch organization for facades, Houthoff has developed the very first lease-based agreement whereby the facade of a building remains the property of the facade builders after delivery by way of a right of ground lease. A right of ground lease has not been used in such a way before. This means a breakthrough in the circular facade economy.

  • Houthoff advised Hannover Leasing on the acquisition of the property 'The Cloud' in Amsterdam by means of a share deal. The transfer took place on 15 December 2017. The building was redeveloped recently and is leased to Uber, Amazon, Spaces and @Leisure. 
  • Houthoff recently advised on the acquisition of the shares in the IEF portfolio by a consortium led by CBRE Global Investors (three institutional investors from the Netherlands, plus CBRE Dutch Retail Fund). IEF is a joint venture formed by Bouwfonds Investment Management and IEF Capital. The portfolio consists of 31 Dutch retail properties (mostly flagship stores), including the well-known Dutch retail chains HEMA and de Bijenkorf. The deal was valued at more than one billion euros. As well as overseeing the share purchase, Houthoff was also hired to advise on the financial arrangements by the banks financing the deal: ING, ABN AMRO and BerlinHyp. In all, Houthoff had a team of more than 50 staff working on the deal.

  • Houthoff advised La Salle Investment Management regarding the acquisition of the Bright Offices in Amsterdam. The acquisition took place on behalf of the French pension fund ERAFP, being the first acquisition for ERAFP on the Dutch Real Estate Market.
  • Houthoff advised ASR Dutch Mobility Office Fund (DMOF) on the acquisition of the ABN AMRO office located at Daalsesingel in Utrecht's city centre from PingProperties.
  • Houthoff advised DELA Vastgoed B.V. regarding the sale of the 'Solit Portfolio' to Lone Star. The Solit Portfolio consists of 73 stores, 4 shopping centres, approx 15,000 m2 of office space, 2 parking garages and 90 residential spaces. The transfer took place on 1 September 2017. The transaction vallue amounts to approx EUR 215 million.
  • Park 20|20 is a Cradle to Cradle-inspired office park in Hoofddorp that is being developed for VolkerWessels and Reggeborgh by the Delta Development Group.
    Houthoff advised Park 20|20 on the turnkey sale of the NOW office building in Hoofddorp to Standard Life Investments. On completion, the office building was leased to Swiss RE, Macaw and Sony. The purchase price for the NOW building was approximately EUR 22 million. SLI was advised by Loyens & Loeff.
  • Houthoff advised CAPREIT on the purchase and funding of a large housing portfolio. Canadian Apartment Properties Real Estate Investment Trust (CAPREIT) has purchased nineteen residential complexes from Aventicum for a price of EUR 170.4 million. The portfolio that the company has acquired comprises 128 single-family houses, 721 apartments and 2 commercial properties. This brings CAPREIT's total portfolio to 1,417 houses. The Canadian investor intends to further expand its Dutch portfolio. CAPREIT has purchased the portfolio with its joint venture partner Rubens Capital Partners. Rubens has taken a minority interest in the portfolio and will assist CAPREIT as the asset manager of the entire Dutch real estate portfolio. The seller, Aventicum, is a joint venture of Credit Suisse and Qatar Holding.
  • Advised Unibail-Rodamco, the world's third-largest real estate investment company with a listing on Euronext Stock Exchange, on the sale of a real estate portfolio consisting of six office buildings located in the Netherlands with a total rental space of circa 59.000 m2 to Valad Europe.
  • Advised US based private equity firm TwentyTwo Real Estate on the indirect acquisition and the restructuring of a real estate portfolio consisting of approximately 7,600 dwellings in France that are rented to Electricité de France (EDF). The portfolio value amounts close to EUR 1 bln.
  • Advised VolkerWessels on the sale of a real estate portfolio to Meijer Realty Partners. The portfolio included four objects: the office building of PRA in Assen, the Mediamarkt in Duiven and a Jumbo supermarket and car park in Heerlen. The purchase price for the portfolio was around € 42,000,000.
  • CBRE Global Investors (Dutch Office Fund) has started building the new World Trade Center in Utrecht (WTC Utrecht), adjacent to Utrecht train station (Jaarbeursplein). A team from Houthoff advised CBRE Global Investors (Dutch Office Fund) on the land transaction with the municipality of Utrecht.
