Partnerships and mergers in the healthcare sector are the order of the day and will continue to be so for quite some time. Scale is viewed by many healthcare institutions as essential for the quality, availability and affordability of healthcare, but also for making investments, collecting relevant big data and recruiting staff. At the same time, mergers meet with increasing public opposition, from politicians, patients' federations and healthcare insurers. The Netherlands Authority for Consumers & Markets (ACM), for example, recently announced that it would tighten up its supervision of healthcare mergers and would look more critically at risks for competition in the healthcare sector. Partnerships, on the other hand, are welcomed by politicians and supervisory authorities. Regardless of whether these views in society are correct, both mergers and partnerships are complex operations involving numerous competencies and skills.

We would like to invite you to attend our Healthcare Course on 8 & 9 March 2018, which is intended specifically for legal counsel and board secretaries and will address questions such as:

• When should you form a partnership or a merger?
• What are the relevant aspects of the decision-making process for a partnership or a merger? What are the consequences of the choices regarding governance, for example in terms of merger  control by the Dutch Healthcare Authority (NZa) and the ACM?
• In what way can partnership arrangements be formalised, and what tax aspects should be taken into account?
• Must the partnership or merger be notified to the NZa and the ACM? If so, what is the procedure, in terms of both content and process?

The course will be given by experts with various areas of expertise. Speakers will include officials from the NZa and the ACM; Pien Beltman, former secretary to the board of the Academic Medical Centre Amsterdam, will share her own experiences of advising the board during a merger process; and Wouter van Leeuwen from BCG will speak about the strategic choices in this context. Their presentations will be alternated with speakers (lawyers, civil-law notaries and tax advisers) from Houthoff.
