Vivian is gespecialiseerd in fusies en overnames (inclusief joint ventures en andere typen samenwerkingsverbanden), en in het bijzonder grensoverschrijdende private M&A transacties. Ze vertegenwoordigt zowel private equity bedrijven als strategische partners. Haar werk bestaat uit het geven van advies over, het opstellen van en het onderhandelen over transactiedocumenten alsmede het coördineren van M&A deals.

  • Advised and represented Lindab AB, subsidiary of the Swedish listed company Lindab International AB, on the acquisition of R-Vent Netherlands B.V.
  • Advised Sportfondsen on the acquisition of Laco. The organisations are focused on managing and operating multifunctional sports, recreation and welfare facilities.
  • Advising Platinum Equity Advisors LLC on the acquisition of Continental Bakeries.
  • Houthoff advised BlueAlp in respect of the acquisition by Shell Ventures B.V. of a 21.25% minority stake in BlueAlp Holding B.V., as well as regarding the commercial partnership entered into between BlueAlp and Shell Ventures B.V., including the cooperation to build two new conversion plants in the Netherlands.
  • Advised Torraspapel, part of the Lecta Group, on the acquisition of Avery Dennison's Offset Pressure Sensitive Sheet Business EMENA. Torraspapel will take over manufacturing and selling Avery Dennison's portfolio of FASSON™ and JAC™ branded self-adhesive papers in EMENA, which will allow Lecta to further expand its activities in specialty markets.

  • Advised Keizerskroon Beheer B.V. with regard to the sale of a majority stake in Easy Sanitary Solutions B.V. (ESS) to Hansgrohe SE.
  • Advisering Keizerskroon Beheer B.V. bij de verkoop van een meerderheidsbelang in Easy Sanitary Solutions B.V. (ESS) aan Hansgrohe SE.
  • Advised Mzuri Holdings Ltd, owner of amongst others Decora Blind Systems, a European manufacturer and distributor of indoor window coverings on the acquisition of Coolblinds, an online retailer of made to measure blinds (better known as 123jaloezie.nl, plissegordijn.nl and rolgordijnland.nl).
  • Advised the on the Toronto Stock Exchange listed WSP Global Inc., one of the world's leading professional services firms providing engineering and design services to clients in the Transportation & Infrastructure, Property & Buildings, Environment, Power&Energy, Resources and Industry sector as well as offering strategic advisory services, on the acquisition of multidisciplinary consultancy- and engineering firm Lievense

     

  • Advised Hexaware Technologies Ltd on the acquisition of Mobiquity Inc. Mobiquity provides digital consulting services for the world’s leading brands, such as Amazon Web Services, Rabobank, Philips, Wawa, Backbase and Otsuka. Houthoff worked jointly with Skadden, Arps, Slate, Meagher & Flom LLP on this transaction.

  • Advised Sandd in the sale and transfer of Sandd to PostNL for an amount of EUR 130 million. This transaction resulted in the acquisition of almost the entire postal market by PostNL.

  • Assisted Twence, a waste processing company that produces energy, in the acquisition of Empyro. The Empyro plant produces pyrolysis oil, green steam and electricity from biomass by polygeneration.

  • Represented Klaas Puul in its merger with Foppen Groep. Both Foppen and Klaas Puul are well known business in the salmon and shrimp processing industry and have long histories as family owned businesses in the food industry. The businesses have been in existence for respectively 100 and 50 years.
  • Houthoff advised Poiesz Supermarkten B.V., a chain of supermarkets in the Northern Netherlands, on the acquisition of Zorggroep Friesland B.V., sole shareholder of  Van Smaak B.V.. Van Smaak B.V. delivers meals to healthcare institutions and individual customers and has the whole relating process (including the purchase of the raw materials, processing and logistics) in house.

  • Houthoff represented the sellers of Kompas International, a provider of trust and corporate services, in their divestment of Kompas International to Praxis IFM, one of the largest independent and owner-managed financial services groups headquartered in the Channel Islands.

  • Houthoff advises Tofane Global on the acquisition of iBasis from KPN. This acquisition is the first milestone in the intended strategy of the Paris-based company. By means of acquisitions and digital transitions, Tofane Global aims to become the market leader in worldwide telephone services. After the completion of the acquisition, Tofane Global and iBasis will continue to work with KPN as strategic partners.
