Joska specialises in mergers and acquisitions, for both private equity and strategic parties. Her experience includes advising on buy-outs, national and international transactions, and public offers. From 2014 to 2017, she represented Houthoff in the core group of the Rotterdam network Rot.Jong. Joska is a member of M&A aan de Maas.

  • Houthoff advised Alychlo NV (“Alychlo”) on its mandatory public offer for the shares in the capital of SnowWorld N.V. (“SnowWorld”).

    On 21 September 2017 Alychlo the investment company of entrepreneur Marc Coucke, acquired an additional interest in SnowWorld, resulting in the obligation to make a mandatory offer for the remaining shares in the capital of SnowWorld. Alychlo launched the mandatory offer for a price of EUR 9.50 per share and published its offer memorandum on 13 March 2018.
  • Houthoff advises Tofane Global on the acquisition of iBasis from KPN. Tofane Global, a new player in the telecom and digital services market, acquires KPN subsidiary iBasis. This acquisition is the first milestone in the intended strategy of the Paris-based company. By means of acquisitions and digital transitions, Tofane Global aims to become the market leader in worldwide telephone services. After the completion of the acquisition, Tofane Global and iBasis will continue to work with KPN as strategic partners.

  • Headquartered in the Netherlands and with more than 75 years of towbar expertise, the Brink Group works closely with OEMs on various programs and also serves the Aftermarket segment of the towing and trailering industry. The Brink Group produces nearly one million towbars annually, and the Brink Group’s products can be found on approximately 25 million vehicles worldwide. The Brink Group currently operates nine facilities in eight countries around the globe.
     
    With annual revenue of approximately $150 million, the Brink Group’s addition to the Horizon Global portfolio will support the Company’s industry-leading manufacturing and product innovation capabilities. After the acquisition, Horizon Global will be well positioned to provide a robust and respected product portfolio that will more effectively serve its global customers across the OEM, OES, Aftermarket and Retail channels.

    The parties expect to complete the transaction by the end of the second quarter 2018, subject to the satisfaction of customary closing conditions, including receipt of regulatory approvals.
     
  • Houthoff represented Argos Soditic in the acquisition of the Future Group, consisting of the following four business groups operating in the public and financial sector: the Talenter group, PLANgroep, Human Capital Group and Future Communication. This matter is particularly significant for Argos Soditic as it signifies Argos Soditic's first presence in the Netherlands.
  • Houthoff advised Oerlemans Foods Nederland B.V./H2 on the sale of its frozen potato processing division to Lamb-Weston/Meijer V.O.F. through a sale of all shares in Oerlemans Foods Nederland B.V. to Lamb-Weston/Meijer V.O.F.
  • Houthoff assisted Alcogroup, Vanden Avenne Commodities and Vandema in the purchase of the bio-ethanol factory of Abengoa Bioenergy Netherlands in Rotterdam, which was declared bankrupt earlier this year due to financial problems of the Spanish parent company Abengoa S.A. The transaction is subject to permission being granted by the relevant competition authorities.
