Jessica Terpstra is based in our London office. She is a finance lawyer and advises financial institutions and corporates on debt and debt capital market transactions. Jessica also advises clients on derivatives and debt-related financial regulatory matters. She is a member of the IBA and the Dutch Association of Financial Law.

Jessica is a member of Houthoff's International Board. The International Board coordinates the firm's close relationships with leading independent law firms around the world.

  • Advised in collaboration with Skadden, Arps, Slate, Meagher & Flom (UK), TBAuctions Netherlands B.V. on its acquisition of Epic Auctions. 
  • Advised Severfield plc with the acquisition of Voortman Steel Construction Holding B.V. and with the Dutch law aspects of the financing of the transaction.
  • Advised Bridgepoint Advisers II Limited on its acquisition of the DataExpert group, a leading provider of products and services to combat cybercrime and fraud and deliver forensic and incident response solutions.
  • Advised European private equity firm CastikCapital on the acquisition of TBAuctions, a leading European online auction platform.
  • Advised Van Oord Renewable Finance B.V. on the sale and transfer of its (approx.) 10% stake in Blauwwind Management II B.V. and  Blauwwind Management II C.V. to  a fund advised by Luxcara.
  • Advised L Catterton on the acquisition of a majority stake in the BIRKENSTOCK Group. Houthoff worked jointly with Kirkland & Ellis on this transaction.
  • Represented Agilitas Private Equity Services Limited in the acquisition of TenCate Advanced Armour Holding B.V., the global leading manufacturer of lightweight survivability solutions.
  • Advised Castik Capital S.à r.l., a Luxembourg-based private equity firm, on its acquisition of a majority stake in Customs Support Group (CSG).
  • Houthoff has advised IK Investment Partners on the acquisition of a majority stake in 2Connect and its (indirect) Romanian and China based subsidiaries from its founder.

  • Advised Goodyear on its EUR 250 million eight year high yield senior unsecured notes issuance. Goodyear is a market leader in the manufacture, distribution and sale of tires for global distribution markets and engages in automotive, vehicle parts, rubber and polymer-related businesses.
  • Advising Ardshinbank on its € 100 million high yield notes issue and credit facility.
  • Advising Van Oord on its new € 400 million revolving facility agreement.
  • Advised the OpenIJ consortium, consisting of BAM, Volker Wessels, DIF and PGGM, on the EUR480 million + financing of its successful bid for the new sealocks at IJmuiden. This matter is particularly significant because when completed, these will be the largest sealocks in the world. Also, the IJmond project is the first large infrastructure PPP project in the Netherlands to reach financial close.
  • Advising a consortium on its bid for the Beatrixkolk riverlock PPP project. Houthoff has been actively involved in the market consultation for the locks projects in the Netherlands and has been advising on bids for the three pilot lock projects, as well as for the larger Sea lock projects such as Ijmuiden sea locks (see below). These projects are unique since it is the first time that DBFM contracts are being applied on large wet infrastructure projects.
  • Currently advising one of the consortia on its bid for the IJmuiden Sea locks PPP. The IJmuiden sea locks are the biggest sea locks in the Netherlands, providing access to the Amsterdam harbour. This project will be the first large scale wet infrastructure PPP in the Netherlands (and the world), with an expected value of roughly EUR 750 million.
  • Houthoff advised Stichting Bedrijfstakpensioenfonds voor de Bouwnijverheid (BpfBOUW), the fourth largest pension fund in the Netherlands, managing assets of approximately EUR 55 billion, on several legal matters concerning its relationship with APG. The advice pertained to, among other things, the legal documentation of the asset management, fund management and fiduciary and other advisory services provided by APG to BpfBOUW on an ongoing basis.
  • Advised, jointly with Skadden, Arps, Slate, Meagher & Flom, Deutsche Bank AG as administrative and collateral agent on a major syndicate refinancing for Owens-Illinois, one of the world’s leading glass-packaging manufacturer. The deal consisted of a USD 300 million revolver, a USD 600 million multicurrency revolver, a USD 600 million term loan facility, a EUR 278 million term loan facility and a USD 300 million delayed draw term loan facility.
  • Advised the winning bidder, consortium Noaber18, consisting of DIF and VolkerWessels on the financing of the PPS-project N18 ‘De Nieuwe Twenteroute’.
