Oscar leads Houthoff's Investment Management practice group. His work focuses mainly on the establishment of investment institutions, including private equity funds, hedge funds, real estate funds, retail funds (UCITS and non-UCITS) and funds of funds. Oscar also advises asset managers, pension funds and other institutional investors on matters such as discretionary and fiduciary/integrated asset management, asset pooling, and the laws and regulations that apply to collective and other forms of asset management. He frequently publishes and teaches on various subjects related to asset management and custody.

  • Advised GLP Pte Ltd on setting up their investment fund structure through the Netherlands (inter alia by setting up a Dutch AIFM branch).
  • Advised Hof Capital on forming a new Dutch investment fund called 'HC Woningen'. It is formed as a Dutch fund for joint account (fonds voor gemene rekening) and invests in residential real estate in the Netherlands.
  • Advised A.S.R. on the formation of a large Dutch investment fund called A.S.R. Dutch Science Park Fund. The fund is formed as a Dutch fund for joint account (fonds voor gemene rekening) and invests in properties on science parks in the Netherlands.
  • Advised De Utrechtse Fondsen CV (UFCV), a large Dutch investment fund (AIF) set up as a Dutch limited partnership, and its five institutional investors on the sale of its entire residential real estate portfolio (1352 residential properties) to the Amvest Residential Core Fund.
  • Advised a.s.r., a large Dutch insurance company, on the acquisition of VvAA Levensverzekeringen, the life insurance business of VvAA Groep. The life insurance portfolio comprises approximately 18,000 policies. The annual premium income is EUR 28m, and the technical provisions amount to EUR 430m. In addition to a multi-year life insurance partnership, VvAA and a.s.r. also intend to further expand the services to VvAA members.
  • Houthoff has recently been retained by ABP, the largest pension fund in the Netherlands, to advise on all investment management related matters concerning its relationship with APG, including several Dutch investment funds managed by APG. The Houthoff team is led by Oscar van Angeren and Daan Horsthuis.

  • Houthoff advised Stichting Bedrijfspensioenfonds voor het Bakkersbedrijf (Bpf Bakkers), a Dutch pension fund managing assets of approximately EUR 3.5 billion, on the appointment of NN Investment Partners as their new integrated fiduciary asset manager. This transaction involved the preparation and negotiations of a fiduciary management agreement under Dutch law based on Bpf Bakker's own template.
  • Houthoff advised Stichting Pensioenfonds Campina, a Dutch pension fund, on the renewal of its contractual relationship with Deutsche Investment Management Americas Inc., RREEF America L.L.C. (both subsidiaries of Deutsche Bank AG) and Goldman Sachs Asset Management International. This work included the preparation and negotiation of a complex Dutch law asset management agreement based on the pension fund's own template.
  • Houthoff advised Stichting Bedrijfstakpensioenfonds voor de Zuivel en de industrie ("Bpf Zuivel") on the following legal matters:
    (i) the delegation of Bpf Zuivel's asset management to BNP Paribas Investment Partners Netherlands N.V. by means of an investment management agreement;
    (ii) the outsourcing of Bpf Zuivel's pensions management to Syntrus Achmea Pensioenbeheer N.V. by means of a pensions management agreement; and
    (iii) the appointment of Kas Bank N.V. as Bpf Zuivel's custodian by means of a custody agreement.
  • Continuing to advise the Transport Industry Pension Fund, with assets under management of approx. € 17 billion, on, inter alia:
    (i) their asset pooling structure, including the implications of the AIFMD;
    (ii) their fund investments (private equity and real estate funds);
    (iii) their custody contracts with Northern Trust Global Advisors;
    (iv) the continuing appointment of new asset managers (approx. 30); and
    (v) their ISDA contracts.
  • Advising the Pension Fund for the Medical Specialists, with assets under management of more than € 8 billion on, inter alia:
    (i) their custody contracts with JP Morgan;
    (ii) their fiduciary asset management contract with BlackRock;
    (iii) their ISDA contracts; and
    (iv) their fund investments.
  • Houthoff advised Stichting Bedrijfstakpensioenfonds voor de Bouwnijverheid (BpfBOUW), the fourth largest pension fund in the Netherlands, managing assets of approximately EUR 55 billion, on several legal matters concerning its relationship with APG. The advice pertained to, among other things, the legal documentation of the asset management, fund management and fiduciary and other advisory services provided by APG to BpfBOUW on an ongoing basis.
  • Houthoff advised VSB Vermogensfonds on the appointment of NN Investment Partners (NN IP) as their new integrated (fiduciary) asset manager. The work included the preparation of, and negotiations about, a complex Dutch law fiduciary management agreement.
  • Advised Stichting-Telegraafpensieonfonds 1959, a Dutch pension fund with assets under management of approximately EUR 1.2 billion, on the appointment of NN Investment Partners (NN IP) as their new integrated (fiduciary) asset manager. The work included the preparation of, and negotiations about, a complex Dutch law fiduciary management agreement.
  • Advised CBRE Global Investment Partners, part of one of the world’s premier, full-service commercial real estate services and investment companies, on setting up a Dutch fund targeting European co-investment and joint venture strategies, having raised a total of USD 840 million of equity sourced from six investors.
  • Advised Stichting Pensioenfonds Campina, a Dutch pension fund with assets under management of approximately EUR 1.4 billion, on the renewal of its contractual relationship with Goldman Sachs Asset Management International. The work included the preparation of, and negotiations about, a complex Dutch law fiduciary management agreement based on the pension fund's own ‘template’.
