  • Houthoff assisted ShoppingParks N.V., Terzetmus B.V., Kempen & Co N.V. and KBC Securities N.V. with the successful accelerated bookbuild offering of 750,000 shares in the capital of Retail Estates N.V., a Belgian publicly listed real estate company. ShoppingParks N.V. and Terzetmus B.V. are two closed-end Dutch real estate funds managed by Freeland.

  • Houthoff advised Kroonenberg Groep B.V., jointly with Lexence, on the acquisition of a shopping centre in Almere valued at EUR 82 million. The property comprises 65 shops and office spaces near the railway station. Our lawyers focused on the legal due diligence, negations on the SPA and the transfer of the portfolio.

  • Houthoff assisted Heimstaden AB with the indirect acquisition and financing of 9,544 residential units in the Netherlands at a purchase price of EUR 1.4 billion. Through this acquisition, Heimstaden has become the third largest private residential property owner in the Netherlands. This is the largest real estate transaction ever in the Netherlands in terms of the number of housing units.

  • Advised a.s.r. real estate on the acquisition – on behalf of ASR Dutch Prime Retail Fund – of the monumental property Spui 10 in The Hague.

  • Houthoff assisted CDL Hospitality Trusts (CDL) in a transaction where CDL took a majority interest in the four-star hotel 'MGallery by Sofitel' in Florence, Italy. Houthoff worked on this transaction with Allen & Gledhill (Singapore), Shooklin & Bok (Singapore) and Chiomenti (Italy). 

  • Houthoff advised Gramercy Europe Limited on the acquisition of a distribution centre in Helmond. The property comprises approximately 26,874.9 m2 distribution and office space and parking places.

  • Houthoff (co-counsel to Kirkland&Ellis and Dechert LLP, M&A, VDD) advised Wyndham Worldwide Corp on the sale of its European vacation rental business (Landal part) to private equity firm Platinum Equity for approximately USD1.3 billion.
  • Houthoff represented the shareholders of Makelaarsland B.V. and Above Holding B.V. in the sale and transfer of 90% of the shares in these companies to ING.

  • Together with the VMRG, the branch organization for facades, Houthoff has developed the very first lease-based agreement whereby the facade of a building remains the property of the facade builders after delivery by way of a right of ground lease. A right of ground lease has not been used in such a way before. This means a breakthrough in the circular facade economy.

  • Houthoff advised Hannover Leasing on the acquisition of the property 'The Cloud' in Amsterdam by means of a share deal. The building was redeveloped recently and is leased to Uber, Amazon, Spaces and @Leisure.
  • Houthoff recently advised on the acquisition of the shares in the IEF portfolio by a consortium led by CBRE Global Investors (three institutional investors from the Netherlands, plus CBRE Dutch Retail Fund). IEF is a joint venture formed by Bouwfonds Investment Management and IEF Capital. The portfolio consists of 31 Dutch retail properties (mostly flagship stores), including the well-known Dutch retail chains HEMA and de Bijenkorf.
  • CBRE Global Investors (Dutch Office Fund) has started building the new World Trade Center in Utrecht (WTC Utrecht), adjacent to Utrecht train station (Jaarbeursplein). A team from Houthoff advised CBRE Global Investors (Dutch Office Fund) on the land transaction with the municipality of Utrecht.
  • Houthoff advised CBRE Global Investors (NL) B.V. / Dutch Office Fund on the sale of the three office buildings (Zuiderhof pavilions) near de Zuidas in Amsterdam to BGV VII Europa, a fund managed by Real I.S. The three office buildings are fully let
  • Houthoff advised NS Basisfonds Stationslocaties on the sale of its office portfolio to ASR. The purchase price was approximately EUR 275,000,000. The portfolio comprised fifteen buildings in and around station locations. ASR purchased the portfolio as the basis for the proposed ASR Dutch Mobility Office Fund.
    The transaction was one of the largest real estate transactions in 2016.
  • Advising and representing Unibail-Rodamco regarding the development of a large shopping mall Leidsenhage (municipality of Leidschendam-Voorburg) and the redevelopment of the Zoetermeer City Centre.
  • Advising Vestia, a Dutch housing corporation, on various complex regulatory aspects relating to the unwinding of its EUR 20 billion derivative portfolio.
  • Houthoff advised G-Star Raw on the sale (by way of a sale-and-leaseback transaction) of its logistics centre, located in the harbour of Amsterdam, to Delin Capital Management. It concerns a large distribution centre of approx. 37.000 square metres.
  • Houthoff advised Attestor in relation to the acquisition of a substantial (distressed) loan portfolio of one of the Dutch larger banks.
  • Advised Leidsche Rijn Centrumplan B.V., a cooperation between ASR Vastgoed Ontwikkeling and Vesteda, on the development of a new city centre in Leidsche Rijn. The new area will consist of 32.000 m² of retail space, 8.000 m² of commercial facilities, 10.000 m² of office space, 734 apartments and an underground car park. The Leidsche Rijn Centrum project is one of the largest currently ongoing real estate development projects in the Netherlands.
  • Houthoff advised ASR Dutch Mobility Office Fund (DMOF) on the acquisition of the ABN AMRO office located at Daalsesingel in Utrecht's city centre from PingProperties.
