UBO Register & EU mandatory disclosure regime (MDR)

Dujat and Houthoff organised the webinar 'Dutch compliance novelties: UBO Register & EU mandatory disclosure regime (MDR)' on Wednesday 10 February 2021. During this interactive webinar, our experts addressed the latest compliance challenges and opportunities.

Cecile Bonnier, representative for Houthoff in Tokyo, elaborated the connection between Houthoff and Japan. Kyoko Tollenaar provided a brief overview of who is considered to be a UBO and what this means for Dutch entities. Jeroen van Mourik provided a short summary of the obligations under the Directive and what this means for Dutch entities of Japanese companies in practice.

UBO Register
On 7 July 2020, the Act implementing registration of ultimate beneficial owners of companies and other legal entities ("Act") was published in the Dutch Government Gazette. This Act obliges legal entities (except listed companies and their direct and indirect full subsidiaries), as of 27 September 2020, to register information about their ultimate beneficial owner(s) ("UBO") in a register kept by the Dutch Chamber of Commerce.

EU mandatory disclosure regime (MDR)
Based on the EU Mandatory Disclosure Directive, certain transactions by companies must be reported to the national tax authorities by intermediaries but under conditions also by taxpayers. As of 1 January 2021 reportable transactions need to be reported to the tax authorities within 30 days. Although the scope of the Directive aims to combat potentially tax aggressive structures, transactions that may not have a tax avoidance character (eg (cross border) mergers, intercompany transfers of hard to value IP, business reorganizations, M&A transactions, certain financing arrangements) may also fall within the scope. During the webinar a brief overview will be provided of the obligations under the Directive and what this means for Dutch entities of Japanese companies in practice.
