  • Advised Exact on the acquisition of Gripp, provider of SaaS business software for professional service companies.
  • Advised Fortenova Group on the acquisition of 18.53% of the shares in Mercator, a large retail group based in Slovenia.
  • Advised, together with Goodwin Procter LLP, Qell Acquisition Corp., a publicly listed special purpose acquisition company (Nasdaq: QELL) in connection with the intention to list Lilium as a Dutch N.V. on Nasdaq through a business combination with Qell.
  • Advised Kistos Plc. on its proposed de-SPACing acquisition of the entire share capital of Tulip Oil Netherlands B.V. from Tulip Oil Holding B.V.
  • Advised Powersports Distribution Group B.V. on the acquisition of the shares in Motovest Beheer B.V., a leading European player with the largest selection of leading brands in niche aftermarket motorcycle parts.

  • Advised L Catterton on the acquisition of a majority stake in the BIRKENSTOCK Group. Houthoff worked jointly with Kirkland & Ellis on this transaction.
  • Advised PRO Unlimited on the acquisition of the Dutch Brainnet Group, both are vendor-neutral managed service providers (MSPs).
  • Advised felyx, an innovative scale-up with ambitious plans for the roll-out of their shared scooter system in Europe by raising new capital from De Hoge Dennen Capital and Anne-Marie Rakhorst.
  • Assisted GEA in the sale of Royal De Boer Stalinrichtingen B.V. and Japy SAS to Mutares SE & Co. KGaA.
  • Advised Novasol A/S on the acquisition of StrandBergen B.V., an intermediary in the rental of holiday homes primarily located in the Bergen aan Zee region.
  • Advised Landal GreenParks Holding B.V. on the acquisition of Vakantiemakelaar B.V., the largest specialist in the brokerage of recreational real estate.
  • Houthoff represented Konecranes in the Dutch portion of the USD 1.126 billion acquisition of Material Handling & Port Solutions business of Terex Corporation.

  • Assisted Livingbridge EP LLP on the sale of the majority stake in Exclaimer to Insight Partners and Fairview Equity Partners. For nearly 20 years, Exclaimer has been the recognised global market leader in on-premises and cloud-based email signature software and solutions for Microsoft 365, Microsoft Exchange and Google Workspace.
  • Advised Proto Labs, Inc, in collaboration with Faegre Drinker Biddle & Reath LLP (lead counsel), on the USD 330 million acquisition of the Dutch start-up 3D Hubs, the Dutch platform for digital 3D printers.

  • Advised Torraspapel, part of the Lecta Group, on the acquisition of Avery Dennison's Offset Pressure Sensitive Sheet Business EMENA. Torraspapel will take over manufacturing and selling Avery Dennison's portfolio of FASSON™ and JAC™ branded self-adhesive papers in EMENA, which will allow Lecta to further expand its activities in specialty markets.

  • Advised Timex Group and its shareholders on the acquisition of a majority interest by The Baupost Group. The existing shareholders of Timex Group retain a substantial interest in the business. Timex Group manufactures and distributes watches under brands as Guess, Versace, Salvatore Ferragamo, Furla and Ted Baker.
  • Advised Vermeer Corporation on its acquisition of the electric-powered horizontal directional drilling (HDD) and fluid systems technology from Normag.
  • Houthoff assisted Vermeg, Vermeg's founder and its management team in Charterhouse's acquisition of an interest in Vermeg from Crédit Mutuel Arkéa.
  • Houthoff advised Wingtech Technology on its acquisition of a 23.77% stake in Nexperia for USD 893 million. Houthoff previously advised Wingtech Technology on an initial acquisition of a 75.86% controlling stake in Nexperia for USD 3.6 billion, which was completed at the end of 2019.
