Bram Caudri

Bram leads Houthoff’s Corporate/M&A practice, specialising in mergers and acquisitions, including corporate takeovers, joint ventures, private equity and venture capital investments.

With over 20 years of transactional experience at Houthoff, Bram represents domestic and international private equity and venture capital investors, as well as strategic parties. His expertise in private equity and M&A transactions is widely recognised, earning him the prestigious Hall of Fame title from Legal 500 for his outstanding proficiency in advising private equity firms.

Bram has a key role in advancing Houthoff’s international strategy and network. He is an active member of the International Bar Association, contributing significantly to the firm’s global outreach. Fluent in six languages – Dutch, English, French, German, Hungarian and Italian – Bram’s linguistic skills enhance his ability to navigate complex international transactions effectively.

Known for his pragmatic approach to complex deals, he consistently delivers exceptional results for his clients, strengthening Houthoff’s reputation as a leading law firm on an international level.

Recent Work

Advised Bent Pixels, together with Faegre Drinker, on the acquisition of Sunny State Agency, a Netherlands based influencer and creator marketing agency. With this transaction, Bent Pixels strengthens its presence in Europe and further expands its capabilities in brand partnerships and creator led marketing.

Advising AEQUITA on its acquisition of the European petrochemicals business of Saudi Basic Industries Corporation (SABIC).

Advised Avego Healthcare Capital Fund II, L.P., a U.S. healthcare fund, on its EUR 25 million growth equity investment in myTomorrows, an Amsterdam‑headquartered health technology company that connects patients, physicians, trial sites and biopharma partners with pre‑approval treatments through a centralized, AI‑enabled, multi‑stakeholder platform.

Advised Büter Group, a leading player in the European hydraulics industry, in connection with its sale to NPM Capital, the investment arm of the family-company SHV Group.

Advised Sureserve Group, a leading UK service provider that offers housing associations and public sector clients a comprehensive range of technical compliance and energy transition services, on its acquisition of Bonarius.

Advising the shareholders of Recharge.com, including the founders, on selling their shares in GC Holding B.V. to Coda. CG Holding B.V. operates under the name Recharge.com and is the European market leader in mobile top-up, gift cards and prepaid money. Coda is the global market leader in digital content monetization.

Assisted the majority shareholders of NIRx Medical Technologies (Germany and the US), in the sale of NIRx to Gilde Healthcare.

Advised Denso, a global automotive components manufacturer, with the acquisition of Axia Vegetable Seeds Group, a leading seed supplier.

Advised Ally Bridge Group on its €30 million PIPE investment in the business combination between BenevolentAI, a UK-based leading clinical-stage AI drug discovery company, and Odyssey Acquisition SA, a SPAC listed on Euronext Amsterdam. With this business combination, BenevolentAI is valued at €1.1 billion (pre-money) and €1.5 billion (post-money).

Advised Acture Group and IK Investment Partners on the sale of Acture Group, a leading provider of holistic employee welfare solutions, to Rivean Capital.

Advised the shareholders of the Royal Steensma group, manufacturer of bakery ingredients, on the sale of the group to US multinational Dawn Foods.

Advised IK Partners on the acquisition of an economical majority stake in QConcepts Beheer B.V., a fast growing Dutch audit-focused specialist.

Advised 3i on the sale of the Weener Plastics group, producer of high-quality plastic packaging products, to US manufacturing company Silgan Holdings.

Advised Recharge.com, the European leader in prepaid payments, on its acquisition of Giftcloud Limited from Groupon, Inc. (NASDAQ: GRPN), marking a strategic and accelerated expansion into the fast-growing B2B rewards space.

Advised the French Sogestran group, as part of a consortium of law firms led by Jeantet (France), on its acquisition of Reederei Jaegers GmbH, a German shipping company specializing in inland waterway liquid bulk transport.

Advised IK Partners on the sale of its portfolio company Yellow Hive to IK Partners' first continuation fund, IK Strategic Opportunities I.

Advised Argos Wityu on its acquisition of the majority of the shares in IJssel Technologie.

Advised GEMA on the acquisition of a majority stake in the SoundAware Group, an established provider of digital services for recognizing music, events, and media content, with its own industry-leading music recognition technology.

Advised Torqx Capital Partners and the other shareholders on the sale of the Sonic group, a global specialist in professional hand tools, filled toolboxes and premium storage solutions, to private equity firm Egeria Capital Management.
