Over the years, our Private Equity Team has become the go-to adviser for many reputable private equity clients, including local private equity funds that focus mainly on the Dutch market, family offices and large international private equity funds. Our multi-disciplinary Private Equity Team works closely with our experts in all of the areas that are relevant for transactions.

  • Houthoff represented Helios Investment Partners, jointly with Vinson & Elkins, on its acquisition of 100% of Fertilizers and Inputs Holding B.V. which holds Louis Dreyfus Company’s Africa-based fertilizers and inputs operations. The closing of the transaction is subject to regulatory approvals and other customary conditions.
  • Houthoff advised Active Capital Company on its acquisition of all shares in the capital of Codi Group B.V. (previously Cogitandum B.V.), a producer and distributor of nonwovens for personal care, household and the medical industry also known as 'wet-wipes'.
  • Advised H2 Equity Partners in the acquisition of a number of industry leaders

    In the past 12 months our team advised H2 Equity Partners:
    - on the acquisition of a majority stake in Myler, a market leading, rapidly growing online staffing platform for highly educated, independent (IT) professionals. (June 2015)
    - on the acquisition of Jenrick, a staffing company of independent professionals focused on the IT segment. (June 2015)
    - on the acquisition on the Brink Group B.V., one of the global market leaders in towing systems in all major Western European aftermarkets and internationally to all major car manufacturers, from Nordic Capital. (June 2015)
    - advised Dümmen Orange, a portfolio company of H2 Equity Partners, on the acquisition of Florexpo, a leading specialist in the production of perennials, herbs and annuals. (July 2015)
  • Houthoff advised ABN Amro Participaties on the sale of the Kuiken Groep to the Belgian trade company SMT Group. Kuiken Groep is a Dutch distributor of earthmoving machines and cranes.
  • Advised Parcom Capital, leader in a consortium with Pon Holdings, on the acquisition of Imtech Marine. Imtech Marine is specialised in installation work in the shipbuilding industry. Imtech Marine is part of Royal Imtech, a listed technical solutions company with an annual turnover of EUR 4 billion that went bankrupt in August 2015.
  • Houthoff advised Active Capital Company (ACC) on the acquisition, together with COO Martin den Ottolander, of Lantor, a company producing non-wovens for the cable and composite industry, from British IPT Group.
  • Dutch machine producer Food Technology Noord-Oost Nederland BV (Ftnon) has bought a 51% stake in Dutch robot maker Lacquey. The sum of the takeover was not disclosed, but was financed by Active Capital, which owns Ftnon. Houthoff advised Active Capital Company.
  • Houthoff advised Euretco shareholders (Avedon Capital Partners and Euretco's management) on the sale of a 75% stake in Euretco to EK-servicegroup eG. The combined company will have 4,100 independent retailers, which represent a EUR 2.2 billion turnover.
  • Houthoff advised the seller in a private equity transaction regarding a multi-national industrial ink manufacturer with substantial activities in the Netherlands.
  • Houthoff advised, together with Skadden Arps, Slate, Meagher & Flom LLP, Doughty Hanson and Reggeborgh on the sale of Eurofiber to Antin Infrastructure Partners for EUR 875 million.
  • Advised Troostwijk Auctions & Valuations and its shareholders on the strategic partnership with the Hartenlust Group. Troostwijk Auctions & Valuations is the biggest industrial auctioneer and valuer in Europe focusing (primarily) on industrial goods and machinery. Hartenlust is an independent investment company which has acquired a 30% stake in Troostwijk Auctions & Valuations.
  • Advised Equistone Partners Europe Ltd., (former Barclays Private Equity) on the acquisition of all shares of the Unlimited Footwear Group, a group of companies consisting of Shoes Unlimited, Trend Design and Star Collections.
    Equistone’s investment in Unlimited Footwear Group represents an attractive opportunity for new partnerships with third-party brands and scope to increase further market penetration in North America as well as Central and Southern Europe.
  • Advised Atlas Holdings LLC and Motus Integrated Technologies on the acquisition of the European and US automotive headliner and sun visor business of Johnson Controls.
  • Houthoff advised Atlas Holdings LLC in connection with the formation of the Aludium Group, based on the acquisition of Alcoa's rolling mills (and R&D facility) in Spain and France.
  • Paul, Weiss together with Houthoff advised Apollo Global Investment in the 80.1% interest in Lumileds, a leading supplier of LED components and automotive lighting. Philips will retain the remaining 19.9% interest in Lumileds.
  • Houthoff advised H2 Equity Partners on its investment in TB&C Investments B.V. and TB&C Holding GmbH (TB&C). TB&C is a global supplier of hybrid components for automotive sunroofs.
  • Houthoff advised investment firm H2 Equity Partners on the acquisition of an interest in fixed base flight simulator producer Multi Pilot Simulations B.V. The company has its head office in the Netherlands with a production location in Germany. H2 will support the existing MPS management team in its growth plans.
  • Houthoff advised investment firm H2 Equity Partners on the acquisition of an interest in shrimp processing market leader Klaas Puul. The firm has its head office in the Netherlands and has production locations in the Netherlands, Belgium, Germany, Denmark and Morocco. Together with the founders, the Mooijer family, and the management, H2 Equity Partners aims at realising Klaas Puul's improvement and growth potential.
  • Houthoff advised H2 Equity Partners on the EUR 91.5 million sale of its portfolio company Isero to merchanting and DIY group Grafton, an Irish company listed on the London Stock Exchange. The acquisition is the group’s largest to date in continental Europe. Isero is a specialist distributor of tools and fixings in the Netherlands, and trades from 38 branches under the Gerritse, Breur Ceintuurbaan and Van der Winkel brands.
  • Advising H2 Equity partners on the sale of its majority stake in its portfolio company Dümmen Orange to BC Partners. Dümmen Orange is a leading breeder of cut flowers and potted plants with production in Europe, Central America and East Africa. The transaction is a subject to regulatory approvals and it is expected to be closed in the coming months.
