Grafton works as a lawyer in the Corporate M&A practice group. He engages in national and international mergers and acquisitions, including company acquisitions, joint ventures and other collaborations, and acts for both private equity and strategic parties. Prior to this, he worked in Houthoff's Employment & Pensions practice group.

  • Advised B&C Industrieholding GmbH, together with CERHA HEMPEL, on the acquisition of 80% stake in the Schur Flexibles Group, which has an enterprise value of around EUR 900m and four production sites in the Netherlands.
  • Advised Proto Labs, Inc, in collaboration with Faegre Drinker Biddle & Reath LLP (lead counsel), on the USD 330 million acquisition of the Dutch start-up 3D Hubs, the Dutch platform for digital 3D printers.

  • Represented Agilitas Private Equity Services Limited in the acquisition of TenCate Advanced Armour Holding B.V., the global leading manufacturer of lightweight survivability solutions.
  • Advised publicly traded Swedish company XVIVO Perfusion AB on the acquisition of 100% of the shares in Organ Assist BV for a purchase price of EUR 24 million. Organ Assist’s business focuses on developing machines and disposable components for liver and kidney perfusion.
  • Advised ASR Nederland N.V. (a.s.r.) on the acquisition of a 50% interest from Brand New Day in Brand New Day Premiepensioeninstelling N.V. (BND PPI) and the sale of a.s.r.'s 10% interest in Brand New Day Houdstermaatschappij N.V. for a total amount of EUR 51 million.
  • Houthoff assisted Söderberg & Partners with the acquisition of a minority stake in Herenvest Groep Beheer B.V. Herenvest Group consists of four advisory companies: Herenvest, Herenvest Corporate, Expat Mortgages and Inside Case Management. Herenvest is an independent financial advisory firm, specialised in the business market. The transaction is still subject to AFM approval.
  • Houthoff advised the Central Works Council of University Medical Centre (AMC) on its consultation and partial approval rights regarding the intended unprecedented merger of AMC and VU Medical Centre (VUmc). This is the first merger of university medical centres in the Netherlands.

  • Houthoff advised HEMA B.V. on a collective redundancy of more than one third of the roles at HEMA B.V.'s head office. The process also involved consultation and approval of HEMA B.V.'s works council and trade unions.

  • Houthoff advised the Vrij Universiteit Amsterdam's works council on a dispute regarding the interpretation of a works agreement with its executive board at the Netherlands Enterprise Court at the Amsterdam Court of Appeal.
  • Houthoff assisted Exact Group B.V. with the acquisition of the construction software company Bouw7 B.V.

  • Houthoff, together with Nishimura & Asahi, represented OAT Agrio Co. Ltd. ("OAT") in the acquisition of Blue Wave Holding B.V., the holding company of Chrysal International. Chrysal is engaged in the field of producing, selling and distributing branded and private label post-harvest flower care and nutrient products.
