NASDAQ-listed SPS Commerce to acquire Euronext Amsterdam listed TIE Kinetix
26 July 2023

On 26 July 2023, TIE Kinetix N.V. ("TIE Kinetix") and SPS Commerce, Inc. ("SPS") announced they had reached a conditional agreement on the acquisition of all business and operations of TIE Kinetix. The latter company specialises in simplifying supply chain processes through the fully electronic exchange of business documents, while SPS is the world’s leading retail network, connecting trading partners around the globe to optimise supply chain operations for all retail partners.

Under the terms of the agreement, SPS International, Inc., a wholly-owned subsidiary of SPS, will acquire from TIE Kinetix all shares in the capital of TIE Kinetix Holding B.V., the holding company of all TIE Kinetix group operations. Certain major shareholders of TIE Kinetix, together holding approximately 67% of the issued and outstanding shares of TIE Kinetix, have irrevocably agreed to vote in favour of the transaction at the EGM, which is expected to be held during the first half of September 2023. The transaction is expected to close during the third quarter of 2023, subject to the satisfaction of customary closing conditions.

TIE Kinetix has the majority of its business and operations in continental Europe (the Netherlands, Germany and France) whereas SPS's business is concentrated in the Americas and Asia. Consequently, the boards of both parties believe that the combination of the respective businesses will allow for continued development and growth of the businesses of TIE Kinetix and SPS.

SPS – listed on NASDAQ – is a leading EDI, sales and item data company offering reliable solutions for retail businesses. To date, more than 115,000 companies in retail, grocery, distribution, supply and logistics have chosen SPS as their retail network. SPS has achieved 89 consecutive quarters of revenue growth and is headquartered in Minneapolis.

TIE Kinetix – listed on Euronext Amsterdam – delivers Software-as-a-Service (SaaS) solutions to companies, government and semi-government agencies and their business partners to simplify supply chain processes. TIE Kinetix was founded in the Netherlands in 1987.

Houthoff is advising NASDAQ listed SPS Commerce on its intended acquisition. The team was led by Michiel Pannekoek and consisted of Kasper van der Sanden, Tessa Ebbing, Marjon Izeren, Thomas de Weerd, Jurre Reus, Jeroen Van Mourik, Diede van der Voort, Jasmijn Harms, Wynand van Seters, Anouk Boutens and Myrthe Prinsze.
