Guillette specialises in mergers and acquisitions (including company acquisitions, private equity investments, joint ventures, de-SPAC mergers and restructurings), representing clients including domestic and foreign private equity funds, institutional investors and strategic partners. She focuses on the financial sector and regularly works together with Houthoff's Regulatory Team. Guillette has had a leading role in more than 50 transactions and became a partner at Houthoff in July 2022.

Guillette is chair of the Legal & Regulatory Committee of the Dutch Association for Private Equity and Venture Capital (NVP) and has a seat on the European Regional Forum Committee of the International Bar Association. Until 2023, Guillette was a board member of the Dutch Young M&A Community. In 2016, Guillette won the Best Young Professionals Law Award. In 2018, she was seconded to Sidley Austin LLP in London.

  • Assisted Dutch insurer De Goudse in its proposed acquisition of a 35% stake in glass insurer Midglas. Midglas is market leader in this niche market. A part of the proposed acquisition is also a 35% stake in De Glaslijn, a facility service provider.
  • Advised Frazier Lifesciences Acquisition Corporation (SPAC), together with Goodwin Procter LLP, on its intended business combination with NewAmsterdam Pharma and listing of the combined entity on Nasdaq.
  • Advised Ease2pay N.V. on the intended acquisition of Involtum Holding B.V. and capital raise.
  • Advised HqO, together with Goodwin Procter LLP, on the acquisition of Office App. Office App is a leading European tenant and employee engagement platform.
  • Advised H2 Equity Partners on the sale of Brink Group. Brink has more than 100 years of expertise in the manufacturing industry. The company’s product portfolio includes fixed, detachable, retractable and next generation towbars.
  • Advised Kensington Capital Acquisition Corp. II, a NYSE-listed special purpose acquisition company, on the merger agreement with Wallbox and Wallbox's listing as a Dutch N.V. on NYSE through the merger.
  • Advised B&C Industrieholding GmbH, together with CERHA HEMPEL, on the acquisition of 80% stake in the Schur Flexibles Group, which has an enterprise value of around EUR 900m and four production sites in the Netherlands.
  • Advised, together with Goodwin Procter LLP, Qell Acquisition Corp., a publicly listed special purpose acquisition company (Nasdaq: QELL) in connection with the listing of Lilium as a Dutch N.V. on Nasdaq through a business combination with Qell.
  • Assisted Livingbridge EP LLP on the sale of the majority stake in Exclaimer to Insight Partners and Fairview Equity Partners. For nearly 20 years, Exclaimer has been the recognised global market leader in on-premises and cloud-based email signature software and solutions for Microsoft 365, Microsoft Exchange and Google Workspace.
  • Assisted Söderberg & Partners with the acquisition of a minority stake in Van Loon. The group companies of Van Loon provide advisory and administrative services concerning insurances and other financial products to individuals and companies.
  • Assisted IK Investment Partners in the acquisition of a majority stake in You Sure Investments B.V.
  • Advised ASR Nederland N.V. (a.s.r.) on the acquisition of a 50% interest from Brand New Day in Brand New Day Premiepensioeninstelling N.V. (BND PPI) and the sale of a.s.r.'s 10% interest in Brand New Day Houdstermaatschappij N.V. for a total amount of EUR 51 million.
  • Advised symplr, a leading healthcare governance, risk and compliance software-as-a-service platform, on the acquisition of The Patient Safety Company (TPSC) from Main Capital Partners.
  • Advised Permobil AB on the contemplated acquisition of the shares in the capital of Supportec B.V., a leading Dutch manufacturer of customised molded seating.
  • Advised Söderberg & Partners with the acquisition of a minority stake in Kröller Boom Assurantiën B.V. Kröller Boom, founded in 2005, has an annual turnover of EUR 5 million and employs 20 employees. The insurance broker offers insurances against fire, liability and cybercrime to medium-sized companies. The transaction is still subject to AFM approval.
  • Assisted Söderberg & Partners with the acquisition of a minority stake in Herenvest Groep Beheer B.V. Herenvest Group consists of four advisory companies: Herenvest, Herenvest Corporate, Expat Mortgages and Inside Case Management. Herenvest is an independent financial advisory firm, specialised in the business market. The transaction is still subject to AFM approval.
  • Advised a.s.r., a large Dutch insurance company, on the acquisition of VvAA Levensverzekeringen, the life insurance business of VvAA Groep. The life insurance portfolio comprises approximately 18,000 policies. The annual premium income is EUR 28m, and the technical provisions amount to EUR 430m. In addition to a multi-year life insurance partnership, VvAA and a.s.r. also intend to further expand the services to VvAA members.
  • Assisted Heimstaden AB with the indirect acquisition and financing of 9,544 residential units in the Netherlands at a purchase price of EUR 1.4 billion. Through this acquisition, Heimstaden has become the third largest private residential property owner in the Netherlands. This is the largest real estate transaction ever in the Netherlands in terms of the number of housing units.

  • Houthoff advised Sligro Food Group N.V. with the proposed acquisition of the shares in Exploitatiemaatschappij Wheere B.V. by Sligro Food Group Nederland B.V. This will include the activities of Vroegop Ruhe & Co B.V., consisting of food wholesaler De Kweker, Vroegop AGF and freight company L.A.J. Duncker.
  • Houthoff – together with Sidley Austin LLP – represented Wex Inc., a leading financial technology service provider, in connection with its planned acquisition of EG Group Limited’s GO Fuel Card business. The Go Fuel Card business is headquartered in Breda, Netherlands with approximately 200,000 proprietary cards in circulation across the Netherlands, France, Belgium and Luxembourg.
