  • Houthoff has advised IK Investment Partners on the acquisition of a majority stake in 2Connect and its (indirect) Romanian and China based subsidiaries from its founder.

  • Houthoff advised the shareholders (Waterland Private Equity and management) on the sale of the Infradata group to IK Investment Partners
  • Houthoff advised Poiesz Supermarkten B.V., a chain of supermarkets in the Northern Netherlands, on the acquisition of Zorggroep Friesland B.V., sole shareholder of  Van Smaak B.V.. Van Smaak B.V. delivers meals to healthcare institutions and individual customers and has the whole relating process (including the purchase of the raw materials, processing and logistics) in house.

  • Houthoff advised Media Markt – Saturn on the establishment of a joint venture with Talpa, Juke Nederland B.V. Juke has launched an online on-demand music streaming service offering unlimited access to songs, playlists and radio content.
  • Houthoff advised a Netherlands based insurance company on the outsourcing of the administrative handling of car insurance claims to an India-based business process outsourcing service provider.
  • Houthoff advised a multinational financial services company on the outsourcing of the administrative servicing of a consumer mortgage portfolio to a Netherlands-based financial services provider.
  • Houthoff is representing the association of realtors, VBO Makelaar, in ongoing civil proceedings before the court of Amsterdam against Funda. Funda is the largest online real estate portal in the Netherlands and a subsidiary of the largest association of realtors in the Netherlands, NVM. The case is one of the few Dutch cases based on abuse of dominance. The case revolves around discriminatory practices by Funda to the detriment of VBO Makelaar's members, including:

    - ranking listings of VBO Makelaar’s members systematically lower than listings of NVM’s members.

    - charging VBO Makelaar’s members significantly higher prices for advertisements than NVM’s members.
  • Dutch hospitals are introducing new IT systems for Electronic Health Records on a large scale. The IT team currently assists two other hospitals in drafting and negotiating their EHR contracts.
  • Advising the receivers of DSB Bank, the largest Dutch financial institution ever to file for bankruptcy) on the BPO outsourcing of the servicing of DSB Bank's EUR 5 billion Dutch mortgage portfolio and related IT systems to financial service provider Quion.
  • Advising the receivers of DSB Bank (the largest Dutch financial institution ever to file for bankruptcy) on a dual service provider BPO outsourcing transaction regarding DSB Bank's long-term arrears portfolio.
  • Successfully representing Rotterdam's Erasmus University Medical Centre, one of the largest and most authoritative scientific University Medical Centres in Europe, in summary proceedings before the Rotterdam interim injunction judge against a spin-off company about the licensing and development of software for laboratory information management and the early detection of hospital-acquired infections (HAI's).
  • Houthoff advised JAC Capital, a subsidiary of JIC Capital - a Chinese state-owned investment company, as a lead counsel on the USD 1.8 billion acquisition of the RF Power Business (radio frequency power amplifiers), from NXP Semiconductors, a Dutch semiconductor manufacturer and one of the semiconductor sales leaders worldwide. The transaction is waiting for their approval of The European Commission, The Federal Trade Commission (US) and Chinese Ministry of Trade.
  • Houthoff advised the bankruptcy trustees of DSB Bank on the outsourcing of its IT-department to IT-service provider SLTN.
  • Houthoff represented Colfax in the USD 860 million sale of the Dutch portion of its fluid handling business to CIRCOR International, Inc.

    The client is a leading diversified industrial technology company that provides gas- and fluid-handling and fabrication technology products and services to customers around the world under the brands, Howden, Colfax Fluid Handling and ESAB.
  • Houthoff advised Sligro Food Group Nederland on the acquisition of Tintelingen B.V. Sligro is - next to its food retail and food service business - one of the leading sellers of traditional Christmas gift boxes in the Netherlands. The addition of Tintelingen enables Sligro to expand its assortment with online Christmas gift boxes.
  • Houthoff advised a multinational financial services company on the outsourcing of the servicing of a closed book insurance portfolio to an India-based business process outsourcing service provider.
  • Houthoff assisted Tele Atlas with the filing of their merger with TomTom, securing clearance without remedies in second phase at the European Commission.
