Marry de Gaay Fortman and Sebastian de Bruijn updated their contribution to the Corporate Governance Handbook

28 October 2026

Marry de Gaay Fortman and Sebastian de Bruijn, together with Stefan Peij (Governance University), updated their chapter on boardroom dynamics for the eight edition of Boom’s Handbook of Corporate Governance. The first copy was presented in early September 2026 to Rob van Wingerden, Chair of the Dutch Corporate Governance Code Monitoring Committee, and Manon van Beek, among other roles, CEO of TenneT.

This chapter explores the practical role of the supervisory board and the way in which board members fulfil their duties in day-to-day practice. It examines, amongst other things, the indicators that may require more intensive supervision, the obvious steps to be taken in such cases, and the boundaries between supervision and co-management.

In addition, the chapter also provides practical guidance on taking minutes and maintaining a thorough paper trail. These may be important when the supervisory board’s performance is assessed retrospectively.

The Corporate Governance Handbook is available through Jongbloed and Managementboek.
