Ageeth specialises in company law and mergers and acquisitions, focusing on areas such as advising on the company law aspects of restructurings, private acquisitions, management buy-outs, joint ventures, management and employee participation, and corporate governance. She advises a range of international and national clients in different sectors and has extensive experience with private equity transactions. Before joining Houthoff in 2009, Ageeth worked at the Dutch office of Simmons & Simmons for nine years. She is also a member of the Royal Dutch Association of Civil-law Notaries.

  • Advised Exact, a leading provider of business and accounting software, on the acquisition of weclapp from 3U Holding.
  • Advised Provincie Zeeland on the carve-out out of PZEM of 50% of Evides.
  • Advised Provincie Zeeland on the unbundling of Evides B.V. from PZEM N.V. and the related sale of the shares held by PZEM N.V. in Evides N.V. to GBE Aqua B.V. and the financing thereof by BNG.
  • Advised ZWIN B.V., Aletschwald B.V., Michel Kerres Management B.V. and KERAM OG B.V. on the sale of the Limburg BMW dealer group Keram (K2M Holding B.V. and its affiliates) and the real estate property owned by the group to Emil Frey (Ekris).
  • Advised the New York based private equity firm Crestview Partners, together with Paul, Weiss, Rifkind, Wharton & Garrison, on the acquisition of TenCate Grass from Royal TenCate.
  • Advised H2 Equity Partners on the sale of Brink Group. Brink has more than 100 years of expertise in the manufacturing industry. The company’s product portfolio includes fixed, detachable, retractable and next generation towbars.
  • Advised Platinum Equity on Landal GreenParks' sale to Roompot.
  • Assisted Vermeg, Vermeg's founder and its management team in Charterhouse's acquisition of an interest in Vermeg from Crédit Mutuel Arkéa.
  • Advised Siemens Nederland with the divestment of its Gas and Power business to Siemens Energy, in preparation of the announced spin-off and listing of Siemens Energy.
  • Houthoff assisted NCAB Group, listed on NASDAQ Stockholm, with the acquisition of Flatfield. NCAB is a global full-service supplier of PCBs (printed circuit boards) with local presence in 17 countries and sales in 45 countries. Flatfield is one of the leading PCB suppliers in the Benelux region. Outside Benelux, Flatfield also has a broad customer base in Germany. Synergies are expected in the areas of purchasing power and a broader factory base in China. The acquisition is mainly loan financed.
  • Houthoff assisted Royal IHC in the sale of its subsidiary Vremac Cylinders to Vydraulics. Vremac Cylinders is a modern designer and manufacturer of hydraulic cylinders, swivels and piston accumulators. Its products are designed to operate in harsh conditions in the dredging, offshore, civil engineering (bridges and lock gates) and heavy machinery markets.

  • Houthoff represented IQ V-Tech B.V., a Quadrum Capital portfolio company, in entering into a strategic partnership with Alois Kober GmbH and mother company Dexcko Global through the sale of a 37.5% indirect interest in the VB-Airsuspension and its group companies.
  • Represented Active Capital Company in the sale of FTNON, a Netherlands-based manufacturer of food processing equipment specialized for the fresh cut and thermal treatment of fruit and vegetables, to JBT Corporation, a US-based leading global technology solutions provider to high-value segments of the food processing and air transportation industries. FTNON's USA and China based subsidiaries were, as part of this transaction, sold directly to JBT.

  • Represented Active Capital Company in their acquisition of Lumat International from their previous owners. Lumat is a supplier of High Tenacity Yarn, Polyester, Polyamide, (Nylon), Aramide and Synthetic continuous filament yarn.

  • Houthoff (co-counsel to Kirkland&Ellis and Dechert LLP, M&A, VDD) advised Wyndham Worldwide Corp on the sale of its European vacation rental business (Landal part) to private equity firm Platinum Equity for approximately USD1.3 billion.
  • Represented Sandd in the acquisition of Van Straaten Post from its previous owners. The combined group is able to service the 24-, 48- and 72- hours postal market throughout the work week with national coverage. The acquisition is part of Sandd’s strategy to become a real alternative on the Dutch postal market.
