Jetty is a partner and specializes in corporate and securities law and leads Houthoff’s ECM team. She focuses in particular on equity capital markets (ECM), public and private M&A transactions and governance of (listed) companies. She regularly works together with Houthoff’s Financial Regulatory Team on insurance and other financial institutions ECM and M&A work. Jetty works in the Capital Markets and Corporate/M&A practice groups.

She is a member of the Dutch Commercial Law Association and the Dutch Financial Law Association (VVFR). Jetty is recognised by Chambers & Partners and she has been designated by Legal 500 to the Hall of Fame for her work in Capital Markets: Equity.

Recent Work

Advising Advent, a leading global private equity investor, on its agreement to invest in Reckitt’s Essential Home portfolio. Advent will acquire a 70% stake to support the company’s accelerated growth and innovation as a standalone business in the years ahead. The transaction values Essential Home at an enterprise value of up to US$4.8 billion, including up to US$1.3 billion in contingent and deferred consideration.

Advised Ariston Holding N.V., a global leader in sustainable solutions for thermal comfort, with ordinary shares listed on Euronext Milan, on the acquisition of CENTROTEC Climate Systems GmbH.

Advised Corre Energy B.V., a leader in the development and operation of Long Duration Energy Storage (LDES) projects and products, with its initial public offering (IPO) on Euronext Dublin.

Advised on the direct listing and admission to trading of all ordinary shares of The London Tunnels PLC on Euronext Amsterdam and the subsequent placing of new shares.

Represented Fortenova Group, the largest food producer and retailer in South-Eastern Europe with an annual turnover of EUR 5 billion and 47.500 employees, in the implementation of a comprehensive restructuring resulting from the presence of sanctioned debt and equity holders in its capital structure and cross-border litigation in connection therewith.

Advised European Healthcare Acquisition Growth Company B.V., a Euronext Amsterdam-listed special purpose acquisition company (SPAC), on the intended business combination with Croma-Pharma GmbH.

Advised Brembo, the world leader in the design and production of high-performance braking systems and components for top manufacturers of cars, motorbikes, commercial and racing vehicles, on the relocation of its legal seat to the Netherlands.
