Jessica works at both the London and Amsterdam offices and specialises in international financial transactions, particularly in relation to project and real estate financing. She also advises clients on banking and securities law, in particular with regard to financial regulation. Jessica is a member of the International Bar Association and the Dutch Association for Securities Law.

  • Houthoff advised Stichting Bedrijfstakpensioenfonds voor de Bouwnijverheid (BpfBOUW), the fourth largest pension fund in the Netherlands, managing assets of approximately EUR 55 billion, on several legal matters concerning its relationship with APG. The advice pertained to, among other things, the legal documentation of the asset management, fund management and fiduciary and other advisory services provided by APG to BpfBOUW on an ongoing basis. The advice also covered the negotiations on a new Dutch law fiduciary management agreement with APG.
  • Advising Van Oord on its new € 400 million revolving facility agreement.
  • Advising a consortium on its bid for the Beatrixkolk riverlock PPP project. Houthoff has been actively involved in the market consultation for the locks projects in the Netherlands and has been advising on bids for the three pilot lock projects, as well as for the larger Sea lock projects such as Ijmuiden sea locks (see below). These projects are unique since it is the first time that DBFM contracts are being applied on large wet infrastructure projects.
    One objective of the project is to transfer the positive experience of road PPP to inland waterway infrastructure. This project shall establish a best practice for procurement of "wet infrastructure" through PPP with the aim to accelerate the realisation of such projects in the future.
    These are challenging projects in many ways. For the first time, the latest in PPP is being applied on large infrastructure waterways, which will also need to attract multiple funders.
  • Advised, jointly with Skadden, Arps, Slate, Meagher & Flom, Deutsche Bank AG as administrative and collateral agent on a major syndicate refinancing for Owens-Illinois, one of the world’s leading glass-packaging manufacturer. The deal consisted of a USD 300 million revolver, a USD 600 million multicurrency revolver, a USD 600 million term loan facility, a EUR 278 million term loan facility and a USD 300 million delayed draw term loan facility.
  • Advised, together with Herbert Smith Freehills, KfW IPEX-Bank GmbH on the financing of the acquisition by Icon Infrastructure LLP of an important oil storage facility, strategically located at the port of Rotterdam with 242,000m3 storage capacity across two tank parks and a total quay length of 450 meters. The financing consists of a term loan facility as well as a revolving facility for a total amount of EUR 70 million.
  • Currently advising one of the consortia on its bid for the IJmuiden Sea locks PPP. The IJmuiden sea locks are the biggest sea locks in the Netherlands, providing access to the Amsterdam harbour. This project will be the first large scale wet infrastructure PPP in the Netherlands (and the world), with an expected value of roughly EUR 750 million.
  • Advising TPG Specialty Lending Europe on its financing to Marlin Equity Partners for the acquisition of IBS AB, a Swedish entity, which has several subsidiaries around the world, including entities in the Netherlands which include Iptor Nederland B.V. and IBS Enterprises Netherlands B.V.
  • Advising TMF on its € 65 million tap issue of its 2012 bond issuance. This notes issue consisted of € 45 million senior secured notes and € 20 million senior notes in addition to its original € 405 million notes issuance. TMF is a leading global provider of high value business services to clients operating and investing globally.
  • Advising sponsors led by Hochtief on their bid for the Breda District Court DBFMO project and sponsors led by Strukton and Hurks on their winning bid for the RIVM DBFMO project. The team has also been advising on the following projects: sponsors led by (Belgian) Vlaamse Participatie Maatschappij, (Austrian/German) Strabag and (French) Sodexo on their bid for the Knoop barracks DBFMO project, and is advising a bidder for the Westland Townhall DBFMO project.
  • Advising Ardshinbank on its € 100 million high yield notes issue and credit facility.
  • Advising Motherson on its additional € 100 million high yield notes issue and several additional bilateral credit facilities.
  • Advised the OpenIJ consortium, consisting of BAM, Volker Wessels, DIF and PGGM, on the EUR480 million+ financing of its successful bid for the new sealocks at IJmuiden.

    This matter is particularly significant because when completed, these will be the largest sealocks in the world. Also, the IJmond project is the first large ‘wet’ infrastructure PPP project in the Netherlands to reach financial close. The IJmond project won Project Finance International (PFI)’s Europe PPP Deal of the Year 2015.
  • Advised the winning bidder, consortium Noaber18, consisting of DIF and VolkerWessels on the financing of the PPS-project N18 ‘De Nieuwe Twenteroute’.
  • Advised LM Wind Power on its additional issuance of NOK475 million senior secured floating rate due 2020 and its credit facilities. These notes were issued in addition to it EUR130 million notes due March 2019.
  • Houthoff advised JAC Capital and Wise Road Capital on the financing regarding the acquisition of the Standard Products business unit from NXP.
  • Advised Zobele Group on a new term facility and revolving credit facility in connection with the refinancing of its existing notes and facilities.

  • Advised H2 Equity Partners on a major investment in Multi Pilot Simulations B.V.
  • Advised Goodyear on its EUR 250 million eight year high yield senior unsecured notes issuance. Goodyear is a market leader in the manufacture, distribution and sale of tires for global distribution markets and engages in automotive, vehicle parts, rubber and polymer-related businesses.
  • Advised Entertainment One on its GBP285 million senior secured notes issuance and amended credit and guaranty facility. Entertainment One is a leading international entertainment company specialising in the acquisition, production and distribution of film and television content.
  • Advised TMF on the refinancing of its senior secured notes, senior unsecured notes and its bank financing.
  • Advised Credit Suisse on the Dutch aspects of its refinancing of the Avantor Group.
