Philippe is gespecialiseerd in (grensoverschrijdend) vennootschapsrecht, fusies en overnames en financieringen. Hij adviseert bij het opzetten van (internationale) joint ventures en heeft een bijzondere focus op transacties op het grensvlak van ondernemingsrecht, financiering en belastingrecht. Participatieregelingen, "special projects", eenmalige projecten waarin deze onderdelen en creativiteit samenkomen, zijn hier voorbeelden van. Hij houdt zich ook bezig met publiek-private samenwerkingen, beleggingsfondsen en herstructureringen. Philippe vindt creatieve oplossingen voor projecten met ogenschijnlijk moeilijk verenigbare uitgangspunten.

  • Advised Ariston Holding N.V on the acquisition of CENTROTEC Climate Systems GmbH.
  • Advised Ariston Holding N.V., a global player in sustainable comfort solutions for hot water and space heating with the initial public offering of its ordinary shares to certain institutional investors and admission to listing and trading of its ordinary shares on Euronext Milan.
  • Assisted GEA in the sale of Royal De Boer Stalinrichtingen B.V. and Japy SAS to Mutares SE & Co. KGaA.
  • Assisted Vermeg, Vermeg's founder and its management team in Charterhouse's acquisition of an interest in Vermeg from Crédit Mutuel Arkéa.
  • Houthoff assisted NCAB Group, listed on NASDAQ Stockholm, with the acquisition of Flatfield. NCAB is a global full-service supplier of PCBs (printed circuit boards) with local presence in 17 countries and sales in 45 countries. Flatfield is one of the leading PCB suppliers in the Benelux region. Outside Benelux, Flatfield also has a broad customer base in Germany. Synergies are expected in the areas of purchasing power and a broader factory base in China. The acquisition is mainly loan financed.
  • Advised the on the Toronto Stock Exchange listed WSP Global Inc., one of the world's leading professional services firms providing engineering and design services to clients in the Transportation & Infrastructure, Property & Buildings, Environment, Power&Energy, Resources and Industry sector as well as offering strategic advisory services, on the acquisition of multidisciplinary consultancy- and engineering firm Lievense

     

  • Advised J.W. Blokland Holding B.V. on the sale of Blokland Metaalbewerking B.V. to Dumaco Holding II B.V., a Dutch manufacturing company owned by private equity firm Convent Capital. 
  • Advised Nuclear Research Group (NRG) on the sale of its dosimetry services division to Mirion Technologies.

  • Houthoff advised Reggeborgh on the IPO of Koninklijke VolkerWessels on Euronext Amsterdam and advised both Reggeborgh and Koninklijke VolkerWessels on all governance-related matters. This included the preparation of the articles of association, the rules of the management board, the supervisory board and its committees, policies, the relationship agreement and the IPO decision-making.
