Klimaatadaptie

Marloes leidt het Public Law team met een focus op due diligence en contractonderhandelingen in M&A en transacties. Ze publiceert regelmatig over milieu- en klimaat gerelateerde onderwerpen, spreekt hierover op (internationale) congressen en doceert aan advocaten en op universiteiten. Marloes sprak o.a. voor de American Bar Association en op Columbia Law School, New York City over juridische en beleidsinstrumenten met betrekking tot water gerelateerde klimaatadaptie in Nederland. In 2019 was zij medeauteur van het eerste overzichtsartikel over klimaatadaptatie in de stedenbouwkundige wet- en regelgeving in Nederland en heeft verder diverse toonaangevende publicaties op haar naam staan over onder meer de nieuwe Omgevingswet. Ze wordt door Who's Who Legal aanbevolen als expert in de categorieën Environment en Climate Change. In 2013 heeft Marloes op ons kantoor in New York gewerkt.

Marloes is Chair van de Practice Group Environmental EMEA van Lex Mundi, een wereldwijd netwerk van advocatenkantoren waarvan Houthoff deel uitmaakt. Zij is lid van het bestuur van de Vereniging voor Bouwrecht-Advocaten en bestuurslid van het Nationale Opera & Ballet Fonds. Marloes was daarnaast ook lid van de Reflectieraad Staalkaarten Omgevingswet van de VNG.

  • Advised VARO Energy BV on its acquisition of 80% of the shares in Bio Energy Coevorden BV, one of the largest biogas manufacturers in Europe.
  • Advised Dusseldorp Automotive B.V., a Dutch BMW- and MINI dealer, on the acquisition of the VMD Group from Autobinck Group.
  • Assisted H2 Equity Partners in the sale of its portfolio company Dutch Seafood Company, trading as ''Foppen'', to the listed company Hilton Food Group. 
  • Advised Bosch Rexroth on the sale of its Large Projects business to Van Halteren Group. Bosch Rexroth is an internationally operating group specialized in mechanical and installation engineering solutions using advanced technologies and extensive industry knowledge.
  • Advised Stellantis N.V. on the legal merger between Peugeot Nederland N.V., Citroën Nederland B.V. and Opel Nederland B.V.
  • Advised B&C Industrieholding GmbH, together with CERHA HEMPEL, on the acquisition of 80% stake in the Schur Flexibles Group, which has an enterprise value of around EUR 900m and four production sites in the Netherlands.
  • Advised Kistos Plc. on its proposed de-SPACing acquisition of the entire share capital of Tulip Oil Netherlands B.V. from Tulip Oil Holding B.V.
  • Advised GIC, Singapore’s sovereign wealth fund, on the joint venture agreement with Equinix for more than USD 1 billion to develop and operate hyperscale data centres in Europe. The joint venture will acquire two operational data centres in London and Paris and plans to futher develop data centres in Amsterdam, Frankfurt (two sites) and London. Houthoff was co-counsel to Kirkland & Ellis on this transaction.
  • Advising and representing PPG Industries in their environmental and safety compliance and permitting matters for all Dutch facility locations.
  • Houthoff advised the Dutch industry organisation Koninklijke Vereniging OnderhoudNL in a recent high profile case on issuing recourse action against Eurogrit/Sibelco to collect millions of damages caused by asbestos contaminated grit.
  • Advised H2 Equity Partners on the sale of Reparenco, a Dutch paper and recycling business, to Smurfit Kappa Group plc for a cash consideration of approximately €460 million. Smurfit Kappa Group plc is one of the world's largest integrated manufacturers of paper-based packaging products with operations in Europe and the Americas.

  • Houthoff (co-counsel to Kirkland&Ellis and Dechert LLP, M&A, VDD) advised Wyndham Worldwide Corp on the sale of its European vacation rental business (Landal part) to private equity firm Platinum Equity for approximately USD1.3 billion.
