Cognite to be acquired by Schneider Electric

Cognite Holding B.V. (“Cognite”) and its major shareholders, including Aker, TCV and Accel, have agreed to sell 100 percent of the shares in Cognite to Schneider Electric. The transaction is based on an enterprise value of $ 3.1 billion.

Cognite is a leading software and AI company that supports industrial organisations in their digital transformation. The transaction will be the largest Norwegian software and AI exit to date and ranks among the largest industrial software transactions in Europe.

Houthoff, together with Wilson Sonsini Goodrich & Rosati (UK), LLP, advised Cognite and its major shareholders on the transaction. The Houthoff team was led by Jasmijn Harms and further consisted of Mark Lemmens, Richard Witvliet, Tom Harms, Jeroen van Mourik, Diede van der Voort, Alexandra van Snippenberg, Zinke Lansink, Daniel Agranovich, Anne Lotte Romkes, Remme Verkerk and Ivar Brouwer.
