National and international tax systems are extensive, complex and constantly subject to change. They require a comprehensive knowledge of tax law from both a legal and fiscal perspective. Houthoff's multi-disciplinary Tax Team has this expertise and assists clients in any tax matters that they are faced with. We assist in matters ranging from fiscal assistance in high-end corporate and financial transactions to transfer pricing and litigation in national and international tax disputes. Our Tax Team is one of the few tax teams that litigates before both civil courts and tax courts, and also, if necessary, before the Dutch Supreme Court. Our Tax Team has become a market leader in the field of international restructuring, M&A, real estate, finance and investment management.

  • Houthoff represented RockRose Energy PLC in the acquisition of Dyas. RockRose Energy PLC operates as an independent oil and gas production and infrastructure company in the United Kingdom. Dyas is an active, non-operating minority partner and investor in oil & gas exploration and production projects.

  • Houthoff advised Poiesz Supermarkten B.V., a chain of supermarkets in the Northern Netherlands, on the acquisition of Zorggroep Friesland B.V., sole shareholder of  Van Smaak B.V.. Van Smaak B.V. delivers meals to healthcare institutions and individual customers and has the whole relating process (including the purchase of the raw materials, processing and logistics) in house.

  • Houthoff advised BGI Genomics Co., Ltd. on all Dutch-law aspects in connection with its successful IPO at the Shenzhen Stock Exchange. BGI is a leading gene sequencing firm, offering a wide portfolio of genetic testing products across major diseases, enabling medical providers and patients worldwide to realise the promise of genomics-based diagnostics and personalised healthcare.
  • Houthoff represented the selling shareholders in the acquisition of PS Nachtdistributie by PostNL. PS Nachtdistributie is active in the field of overnight distribution in the Benelux.
  • Houthoff advised Yealink Network Technology Corp Ltd on the Dutch law aspects of its successful IPO on the Shenzhen Stock Exchange. Founded in 2001, Yealink is a leading global unified communication (UC) terminal solution provider that primarily offers video conferencing systems and voice communication solutions.
  • Houthoff advised ABN Amro Participaties on the sale of the Kuiken Groep to the Belgian trade company SMT Group. Kuiken Groep is a Dutch distributor of earthmoving machines and cranes.
  • Advising Adveq Dutch Investments, a private equity and real assets investor with approximately USD 5.4 billion AuM, on its Dutch investments, including Avedon Capital Partners and HPE Growth Capital.
  • Houthoff is advising one of Colombia's largest property development companies on its international corporate structure, as well as on its ongoing restructuring and add-ons in 2014 and 2015.
  • Advising on a corporate structure for Terranum, one of Colombia's largest property development companies, on its international structure with ongoing restructuring and add-ons in 2014 and 2015.
  • Cloetta, a leading confectionery company listed on the Nasdaq Stockholm, acquires Lonka of The Netherlands. Cloetta has signed an agreement to acquire Locawo B.V. (Lonka) – a Dutch company producing and selling fudge, nougat and chocolate. Cloetta has agreed to acquire 100% of the shares of Locawo B.V. The purchase price amounts to SEK 295m in cash. Lonka’s sales amounted to about SEK 300m in 2014 with the Netherlands being the core market, accounting for about half of the sales. The acquisition will significantly strengthen Cloetta’s position in the Netherlands

  • Houthoff advised, together with Skadden Arps, Slate, Meagher & Flom LLP, Doughty Hanson and Reggeborgh on the sale of Eurofiber to Antin Infrastructure Partners for EUR 875 million.
  • Houthoff advised IVG Institutional Funds GmbH on the Dutch part of the sale of one of its Pan European office portfolios to a fund managed by Ares Management. The portfolio consists of 30+ buildings in the United Kingdom, France, Belgium, Finland, Spain and the Netherlands. The Dutch part of the portfolio consists of 18 office buildings and represents a substantial of the portfolio value. The transfer of the buildings is expected to take place in the third or fourth quarter of 2015.
  • Advising Pension fund Vopak on investments in U.S. real estate. Vopak is the world’s leading independent tank storage provider for the oil and chemical industry.
  • Advised US based private equity firm TwentyTwo Real Estate on the indirect acquisition and the restructuring of a real estate portfolio consisting of approximately 7,600 dwellings in France that are rented to Electricité de France (EDF). The portfolio value amounts close to EUR 1 bln.
  • Houthoff acted for Great American in the winning offering for the bankrupted Schoenenreus business.
  • Paul, Weiss together with Houthoff advised Apollo Global Investment in the 80.1% interest in Lumileds, a leading supplier of LED components and automotive lighting. Philips will retain the remaining 19.9% interest in Lumileds.
  • Houthoff advised investment firm H2 Equity Partners on the acquisition of an interest in fixed base flight simulator producer Multi Pilot Simulations B.V. The company has its head office in the Netherlands with a production location in Germany. H2 will support the existing MPS management team in its growth plans.
  • Houthoff advised VolkerWessels, a European offshore cable installation with a strong market position, with the sale of the maritime and offshore wind energy related activities of VolkerWessel to Koninklijke Boskalis Westminster (Boskalis).
  • Advised Cicerone Fund on the acquisition of the long-term leasehold of the Waterstones flagship store located in Piccadilly, London for GBP 92 million from Meyer Bergman. The transaction has been undertaken by Cicerone Holding BV, which is the fully-owned Dutch subsidiary of the fund.
  • Houthoff advised JAC Capital, a subsidiary of JIC Capital - a Chinese state-owned investment company, as a lead counsel on the USD 1.8 billion acquisition of the RF Power Business (radio frequency power amplifiers), from NXP Semiconductors, a Dutch semiconductor manufacturer and one of the semiconductor sales leaders worldwide. The transaction is waiting for their approval of The European Commission, The Federal Trade Commission (US) and Chinese Ministry of Trade.
